PORTILLO’S HOT DOGS “Promtillo’s” SWEEPSTAKES OFFICIAL RULES

NO PURCHASE OR PAYMENT NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT IMPROVE CHANCES OF WINNING.

ARBITRATION NOTICE: BY ENTERING, YOU AGREE THAT DISPUTES BETWEEN YOU AND ANY PROMOTION ENTITY WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A JURY TRIAL, CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. See Disputes provision.

THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED, OR ADMINISTERED BY, OR ASSOCIATED WITH, FACEBOOK, INSTAGRAM, TWITTER (X), TIKTOK, AND/OR ANY OTHER SOCIAL MEDIA PLATFORM.  BY PARTICIPATING IN THIS SWEEPSTAKES, YOU AGREE TO A COMPLETE RELEASE OF FACEBOOK, INSTAGRAM, TWITTER (X) AND ANY OTHER SOCIAL MEDIA PLATFORM, FROM ANY CLAIMS.

BY ENTERING THE SWEEPSTAKES, ENTRANT AGREES TO THESE OFFICIAL RULES.

1. SPONSOR: Portillo’s Hot Dogs, LLC, 2001 Spring Rd., Suite 400, Oak Brook, IL 60523.

2. ELIGIBILITY:  “Promtillo’s” Sweepstakes (the “Sweepstakes”) is open only to legal residents of the fifty (50) United States (including the District of Columbia, “U.S.”), who are at least fifteen (15) years old at the time of Entry(eligible “Entrant").  Void where prohibited by law.  Children of employees of Portillo’s Hot Dogs, LLC (the “Sponsor”) or any of its respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production, execution or distribution of the Sweepstakes (collectively, with Sponsor, the “Sweepstakes Entities” or “Releasees”) and their immediate family (spouse, parents and step-parents, siblings and step-siblings and children and step-children) and household members of each such Releasees are not eligible to enter or win.  Participation constitutes an entrant’s full and unconditional agreement to these Official Rules (“the Rules”), Sponsor’s Privacy Policy (see Section 10) and Sponsor’s decisions, which are final and binding in all matters related to the Sweepstakes.  Winning a prize is contingent upon fulfilling all requirements set forth herein.

3. SWEEPSTAKES PERIOD: The Sweepstakes begins on April 9, 2024, on or about 12:00 AM Central Time (“CT”) and ends on April 30, 2024, at 11:59 PM CT (the “Sweepstakes Period”).  Official time will be kept on www.portillos.com.

4.  ENTRY: There are two (2) ways to enter the Sweepstakes during the Sweepstakes Period, eligible Entrants: (1) Upload an original, compliant photo of your promposal at https://app.viralsweep.com/contest/full/4e354e-155075?framed=1 and agree to be bound to these Rules (“Entry”). Promposal must mainly feature Entrant, who must appear in the Entry. For purposes of this Sweepstakes, a Promposal is a photo of you creatively asking to be someone's date to a prom. Photo entries can include photos of you asking your prom date with a sign, balloons, food, or any additional creativity used to ask your date to Prom! Without limiting any other term in the Rules, all Entrants must obtain actual consent from all people and/or venues featured or appearing in the photo prior to submitting the photo;

OR to enter without submitting a photo: (2) eligible Entrants may legibly print their name, phone number and valid email address on a piece of paper and mail in a sufficiently USPS stamped envelope to: “Promtillo’s Sweepstakes, Portillo’s Hot Dogs, LLC, 2001 Spring Rd., Suite 400, Oak Brook, IL 60523, postmarked no later than May 1, 2024, and received by Sponsor no later than May 7, 2024. It is each entrant’s sole responsibility to notify the Sponsor if his or her contact information (email address or phone number) changes after submitting the Entry.

Limit one (1) Entry per person, regardless of entry method used. Entries by any method other than set forth above in Section 4 are void. Any (suspected) use of fraud, artifice, cheating, digitally copied, reproduced, automated or programmed methods of Entry is prohibited and will be disqualified.  If, upon review, Sponsor (or its authorized representative) is unable to determine that an Entry and/or Entrant is eligible, compliant, or reasonably suspects that it/he/she is not eligible or compliant in whole or in part, the Entry as a whole may be disqualified.  Proof that an Entry was uploaded does not constitute proof or evidence that it was received within the Entry Period or eligible for this Sweepstakes.

REPRESENTATIONS ABOUT YOUR ENTRY: By submitting an Entry, Entrants hereby represent, warrant and covenant (as applicable), and agree to produce written evidence of such if requested, that:

(i) The Entry/content, in whole and in part, is an original work of Entrant, is not created or enhanced by artificial intelligence, is compliant with the Rules, does not violate or appear to infringe upon any laws, rules, regulations, privacy, proprietary or intellectual property rights (including copyrights, trademarks,  patents, trade secrets, industrial property rights, personal or moral rights), or any other laws, regulations, or rights whatsoever of any person and/or entity, and will not bring Sponsor or the Sweepstakes Entities into public disrepute, scandal or embarrassment;

(ii) The Entry, in whole and in part, is submitted by or with the permission of all persons (living or deceased), venues and/or business entities who worked on, were engaged to work on, or contributed in any respect to the Entry or any part thereof, who are referenced or depicted (directly or indirectly) in the Entry by name, likeness, voice, image or any other information or indicia of persona, or who otherwise have any right, title and interest in and to the Entry or any part thereof, and all such persons, venues, and/or business entities have provided their written consent to submission of the Entry and its use pursuant to the Rules;

(iii) Entrant has all other rights, licenses, permissions and consents necessary to submit the Entry for the uses contemplated in this Sweepstakes and to license the Entry to the Sponsor as provided in these Rules, and the exercise thereof by the Sponsor or any other Sweepstakes Entity of the rights granted by Entrant, in whole or in part, does not and will not give rise to any alleged or actual claims, disputes, damages, actions or liabilities, including but not limited to those for disputes or payment of any kind, including without limitation royalties, residuals, attribution, credit, dues, approval or consultation rights, or any rights of participation, attribution, or any other fees, costs, or expenses, arising out of the submission, use, exhibition and/or any other use or exploitation of the Entry, in whole and in part, the use and exercise by Sweepstakes Entities of any of the rights granted in these Official Rules;

(iv) The Entry in whole or in part contains no malware, including viruses, trojans, worms, bugs, spyware or any other harmful software, code or other devices;

(v) The Entry does not depict, refer to or contain in any respect image(s), voice(s) or information about a minor under the age of 15; and

(vi) The Entry in whole or in part does not violate the Rules, does not contain or promote sexist, pornographic or sexually explicit, defamatory, discriminatory, offensive, violent, harmful, highly unsafe or dangerous activities, illegal, cruel, abusive, highly political, religious or sensitive content or activities, swear words, course content, or content of an obscene or menacing character, and does not otherwise appear to condone or promote cruelty, bigotry, hatred or harm against any animal, group or individual, or to (expressly or impliedly) contain, condone, or promote discrimination based on race, gender or gender identity, pregnancy, religion, nationality, disability, sexual orientation, or age, or otherwise offend against reasonable standards of taste and decency.

GENERAL ENTRY CONDITIONS: Once submitted, Entries may not be cancelled or deleted, enhanced, added to, or improved, and will not be returned, if applicable. The Entry may be publicly displayed, viewed and used by Sponsor in whole or in part, as provided herein and by others interested in, involved with, or administering the Sweepstakes. Nothing herein shall be deemed an obligation of confidentiality. Any third-party copyrighted works, or trademarks, logos, brand names, etc. (“Logos”) or any other intellectual property in an Entry must not be used commercially and must appear only perfunctorily and in the background to the Entry; all such copyrighted works and Logos are the property of their respective owners, which are not sponsors or affiliated with this Sweepstakes in any way. 5. PRIZES: One (1) grand prize winner may be eligible to receive: One (1) $500 Portillo’s Digital gift card, an opportunity to be featured on Portillo’s social media (in Sponsor’s sole and absolute discretion without Sponsor obligation[RK2] ), and Portillo’s Merchandise including one (2) Portillo’s Sweatshirts, 60^th Anniversary T-Shirt, Waterbottle, and Laptop Stickers.  Total approximate Retail Value (“ARV”) of the grand prize is $750 (consisting of one (1) $500 gift card, and $250 in Portillo’s Merchandise). Gift card is for promotional purposes only, is subject to the terms and conditions of issuer, and may not be replaced if lost, stolen, misplaced, damaged or destroyed. Without limiting the foregoing, Entries will be disqualified if Sponsor believes the Entry is not in the spirit of the Promotion or any element thereof, is not compliant, or will have a detrimental impact on Sponsor, this Promotion or any of Sponsor’s or Sweepstakes Entities’ brands, products or services. Furthermore, if an Entry, for any reason whatsoever, contains content or garners comments that is/are unpleasant, distasteful, nasty or otherwise inappropriate for the Sponsor community (in Sponsor’s absolute sole discretion), Sponsor reserves the unrestricted right to disqualify Entry or Entrant.

Prizes referred to each as a “Prize” or collectively as the “Prizes.”

PHD Card Services, LLC Gift Card terms and conditions will apply to all Prizes.

All winners hereinafter referred to as a “Winner” or collectively as “Winners.”

6. PRIZE RESTRICTIONS: Limit one (1) Prize . Any depiction of Prizes is for illustrative purposes only. Prizes are not redeemable for cash or transferable. No substitutions are allowed, except, in Sponsor’s sole discretion, a prize of equal or greater value may be substituted. Winner is solely responsible for any and all expenses and taxes related to acceptance and use of the Prize, as applicable.

All Prizes will be awarded provided a sufficient number of eligible Entries are received during the Sweepstakes Period and Prizes validly claimed by no later than May 30, 2024, after which date no alternate Winners will be selected, nor unclaimed Prizes awarded.

Winner is solely responsible for complying with any applicable federal, state and/or local laws and regulations applicable to the Prize awarded.  Sponsor reserves the right to withhold delivery of the Prize if Winner does not comply with the above requirements, and the Prize may be forfeited, in Sponsor’s sole discretion, by Winner’s noncompliance.

7. ODDS: Odds of winning the Sweepstakes depend on the total number of eligible Entries received during the Sweepstakes Period.

8. SELECTION OF WINNER(S): All Entries for Sweepstakes must be received during the applicable Sweepstakes Period as specified in Section 3 of these Rules. Sponsor will conduct the random drawing for the Sweepstakes as set forth below to select potential Winner(s) and any alternates from all eligible Entries received for the Sweepstakes. The drawing for the Sweepstakes will be held on or about May 8, 2024.

9. WINNER(S): Potential Winner will be notified by email on or about two (2) business days after the applicable drawing date. Potential Winners are subject to verification by Sponsor. Potential winner (or if a minor their parent/adult legal guardian, “parent”) must execute a Declaration of Eligibility/Liability/Publicity Release and W-9 (where required by law) within three (3) business days from the date of emailing or mailing the documents to potential Winner.  Sponsor’s decisions are final and binding in all matters related to the Sweepstakes. Disqualification and the selection of an alternate Winner may result from any of the following: [1] the return of any email notification or Prize as undeliverable; [2] potential Winner’s (or their parent’s) failure to execute and return a Declaration of Eligibility/Liability/Publicity Release/W-9 (where required) within three (3) business days from the date of emailing or mailing to potential Winner; [3] potential Winner’s failure to validly claim any Prize by May 30, 2024; and [4] any other ineligibility or non-compliance with the Rules. Alternate winners will be selected in the sole discretion of Sponsor. All taxes and other expenses associated with claiming the Prize are solely the responsibility of each Winner. In accordance with IRS regulations, each Winner will receive an IRS Form 1099 and must provide Sponsor with his/her Social Security Number. Winner must provide a valid form of identification to Sponsor to claim the Prize. All identification presented is subject to acceptance by Sponsor in its sole discretion. Identification that is counterfeit, illegible, tampered with, or otherwise altered, will not be accepted.

10. PRIVACY POLICY/DATA COLLECTION: Information provided by entrants under this Sweepstakes is subject to Sponsor’s privacy policy located at www.portillos.com/service/privacy (“Privacy Policy”).

11.  PUBLICITY:  Except where prohibited by law, by participating in the Sweepstakes, it constitutes Entrants consent to Sponsor’s and its agents’ use of Winner’s name, address (city and state only), likeness, photograph, voice, Entry, and prize information and/or statements about the promotion for any publicity, advertising and promotional purposes in any and all media (including without limitation Sponsor’s and unrelated third parties’ social media channels) now known and hereinafter devised without review or additional compensation.

12.  LIMITATIONS OF LIABILITY:  Releasees are not responsible for:  (1) any incorrect or inaccurate information or communication, whether caused by error or by any of the entities, equipment or programming associated with or utilized in the Sweepstakes; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Sweepstakes; (4) technical or human error which may occur in the administration of the Sweepstakes or the processing of entries; or (5) any injury, illness or damage to persons or property, including bodily injury and death, which may be caused, directly or indirectly, in whole or in part, from entrant’s participation in the Sweepstakes or receipt or use or misuse of any Prize or from interaction with, or downloading of, computer Sweepstakes information, and entrant agrees to waive any claims therefor.  If for any reason an Entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant’s sole remedy is another Entry in the Sweepstakes, provided that if it is not possible to award another Entry due to discontinuance of the Sweepstakes, or any part of it, for any reason, Sponsor, at its discretion, may elect to hold a random drawing from among all eligible Entries received up to the date of discontinuance for any or all of the Prizes offered herein.  Entrant further agrees and acknowledges that Sponsor reserves the right to forfeit or award any unclaimed or leftover Prize at its sole discretion.

13.  DISPUTES/GOVERNING LAW:  By entering the Sweepstakes, entrants agree that all disputes, claims and causes of action arising out of or relating to the Sweepstakes will be resolved solely through binding arbitration, and entrants waive the ability to bring claims in a class action format. Illinois law will apply to any disputes, without regard to conflict of laws provisions therein.  Any awards or judgments shall be limited to actual out-of-pocket costs incurred, but in no event shall include attorneys’ fees. Under no circumstances shall any entrant be permitted to obtain an award for, and entrant hereby waives all rights to claim, any punitive, incidental or consequential damages and any and all rights to have damages multiplied or otherwise increased.

14. GENERAL CONDITIONS:  Each entrant by entering the Sweepstakes agrees that: [1] he/she has all rights, permissions and consents necessary to grant the rights to Sponsor as expressed herein; [2] he/she will abide by and be bound by the Official Rules, Portillo’s Gift Card terms and conditions, and Sponsor’s decisions and Privacy Policy; [3] the Entry becomes the sole property of the Sponsor and will not be acknowledged or returned; [4]  in the event of viruses, bugs, unauthorized human intervention, Acts of God, acts or regulations of any governmental or supra-national authority, war, national emergency, accident, fire, riot, strikes, lock-outs, industrial disputes, acts of terrorism, or other matters beyond the Sponsor’s reasonable control, that corrupt, prevent or impair the administration, security, fairness or proper play of the Sweepstakes, so that it cannot be conducted as originally planned, the Sponsor has the right to cancel, modify, terminate or suspend the Sweepstakes; and in such event, to select winner(s) by such method as Sponsor in its sole discretion shall consider equitable; [5] the Releasees are not responsible for typographical or other errors in the offer or administration of the Sweepstakes, including but not limited to: errors in the advertising, Rules, selection and announcement of Winners and distribution of the Prizes; [6] any portion of any Prize not accepted or used by any Winner will be forfeited; [7] the Releasees are not responsible for any inability of any Winner to accept or use any Prize, or any portion of a Prize, for any reason; [8] Sponsor has the right to disqualify any individual found to be: (a) tampering or attempting to tamper with the entry process or the operation of the Sweepstakes; (b) violating the Rules; (c) violating the terms of service, conditions of use and/or general rules or guidelines of any Sweepstakes property or service; or (d) acting in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person; [9] Sponsor has the right to refuse Entry and/or disqualify an Entrant whose eligibility is in question or who has been disqualified or is otherwise ineligible to enter the Sweepstakes; [10] since any attempt by an Entrant to deliberately alter or damage the Website or undermine the legitimate operation of the Sweepstakes is a violation of criminal and civil laws, Sponsor shall have the right to seek damages from any such entrant to the fullest extent permitted by law; [11] the Releasees are not responsible if an element of the Prize becomes unavailable for any reason, and in such case, Winner will be provided a Sponsor-selected substitute of equal or greater value; and [12] Prizes are awarded “AS IS” and WITHOUT WARRANTY OF ANY KIND, express or implied, (including, without limitation, any implied warranty of merchantability or fitness for a particular purpose).

15. WINNERS LIST: For a list of Winner(s), available after the Sweepstakes Period has ended, send a self-addressed, stamped envelope to: “Promtillo’s” Sweepstakes Winners List, Portillo’s Hot Dogs, LLC, 2001 Spring Rd., Suite 400, Oak Brook, IL 60523, to be received by Sponsor by May 1, 2024.
