MiLB August 2020 Sweepstakes Official Rules

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT INCREASE THE CHANCES OF WINNING.
1. Eligibility: The MiLB August Sweepstakes (the "Sweepstakes") is open only to legal residents of the 50 United States and the District of Columbia who are at least eighteen (18) years of age (except in the case of legal residents of certain states where the legal age of majority is greater than eighteen (18) years of age, such legal age of majority) at the time of entry. The Sweepstakes is void where prohibited or restricted by law, rule or regulation. Employees of Hat Club, Inc. ("Sponsor" or “Hat Club”), the NAPBL Entities, the MLB Entities and each of their respective affiliates, subsidiaries, advertising and promotion agencies, suppliers and their immediate family members and/or those living in the same household of each are not eligible to participate in the Sweepstakes. The Sweepstakes is subject to all applicable federal, state and local laws and regulations. The “NAPBL Entities” shall mean The National Association of Professional Baseball Leagues, Inc. ("NAPBL"), each NAPBL Club, each NAPBL League, Professional Baseball Promotion Corporation, Professional Baseball Umpire Corp., Baseball Internet Rights Company LLC, BIRCO Holding Company LLC, MiLB Enterprises LLC, MiLB Enterprise Holdings LLC, Minor League Baseball Charities, and each of their subsidiaries or affiliated entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the NAPBL and the NAPBL clubs and leagues, and all officers, directors, employees, agents, partners, and members of those entities. The “MLB Entities” shall mean the Office of the Commissioner of Baseball (“BOC”), its Bureaus, Committees, Subcommittees and Councils, MLB Advanced Media, L.P., Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs (“Clubs”), each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities.
2. Agreement to Rules: By participating, you agree to be fully unconditionally bound by these Official Rules, and you represent and warrant that you meet the eligibility requirements set forth herein. In addition, you agree to accept the decisions of Hat Club, as final and binding as it relates to the Sweepstakes.
3. Sweepstakes Period: Entries will be accepted online starting on August 1, 2020, at 12:00 AM and ending on August 31, 2020, at 11:59 PM (the “Entry Period”). All entries must be received during the Entry Period by August 31, 2020, at 11:59 PM. All times are (GMT-07:00) Arizona.
4. How to Enter: The Sweepstakes must be entered by submitting an entry using the online form provided at www.hatclub.com/pages/sweepstakes. The entry must include completion of all required fields on the entry form, as specified, to be eligible. Entries that are not complete or do not adhere to these Official Rules may be disqualified at the sole discretion of Hat Club. You may enter only once and you must fill in the information required. You may not enter more times than indicated by using multiple e-mail addresses, identities or devices to circumvent these Official Rules. If you use fraudulent methods or otherwise attempt to circumvent these Official Rules your submission may be removed from eligibility at the sole discretion of Hat Club. Entrants to the Sweepstakes may be given the option to receive commercial email from Hat Club; however, eligibility to participate in the Sweepstakes is not dependent upon entrant’s consent to receive such emails and consenting to receive such emails will not impact any entrant’s chances of winning.
5. Prizes: Seven (7) total prizes will be awarded (i.e. one [1] grand prize and six [6] first prizes) at the sole discretion of Sponsor as follows:

- One (1) winner will receive a set of ninety-two (92) New Era fitted (one [1] cap from each of the participating Clubs in the MiLB COPA Program) (the “grand prize”). Approximate Retail Value (“ARV”) of grand prize is: $[3,496]. 

- Six (6) winners will each receive twelve (12) total caps, one (1) of each on-field NAPBL Club-branded hat per NAPBL Club from the Copa Collection of the winners choosing (each, a “first prize” and together with the grand prize, the “prizes”).  ARV of each first prize is: $456.

You are not guaranteed to win a prize and your chance of winning is dependent on the total number of eligible entries received. Actual/appraised value may differ at time of prize award and any difference in value will not be awarded. The specifics of the prizes shall be solely determined by the Sponsor. No cash or other prize substitution permitted except at Sponsor's discretion. The prizes are nontransferable. Any and all prize-related expenses, including without limitation any and all federal, state, and local taxes shall be the sole responsibility of the winners. No substitution of prizes or transfer/assignment of prizes to others or request for the cash equivalent by the winner is permitted. Acceptance of the prizes constitutes permission for Hat Club to use each winner's name, likeness, and entry for purposes of advertising and trade without further compensation, notice or permission unless prohibited by law. The Hat Club LLC Entities, NAPBL Entities and MLB Entities (a) make no warranty, guaranty or representation of any kind concerning the prizes (or any portion thereof), and (b) disclaim any implied warranty.  
6. Odds: The odds of winning depend on the number of eligible entries received.
7. Winner selection and notification: The potential winners of the Sweepstakes will be selected in a random drawing under the supervision of the Sponsor from among all eligible entries received. Subject to verification of eligibility and compliance with these Official Rules, the potential winners will be declared the official winners of the Sweepstakes. The potential winners will be notified via e-mail to the e-mail address provided on the entry form within five (5) days following the winners selection. Hat Club, the NAPBL Entities and the MLB Entities shall have no liability for any potential winners’ failure to receive notices for any reason, including, without limitation, due to potential winners' spam, junk e-mail or other security settings or for potential winners' provision of incorrect or otherwise non-functioning contact information. If the selected potential winners cannot be contacted, are ineligible, fail to claim any prize within fifteen (15) days from the date award notification was sent, declines the prize for any reason, or fails to timely return a completed and executed declaration and release as required, the prize may be forfeited and an alternate potential winner selected by random drawing from among all remaining eligible entries received. The receipt by winners of the prizes offered in this Sweepstakes are conditioned upon compliance with any and all federal and state laws and regulations. ANY VIOLATION OF THESE OFFICIAL RULES BY THE WINNER (AT SPONSOR'S SOLE DISCRETION) WILL RESULT IN THE WINNER'S DISQUALIFICATION AS WINNER OF THE SWEEPSTAKES AND ALL PRIVILEGES AS WINNER WILL BE IMMEDIATELY TERMINATED.
8. Rights Granted by you: By entering this Sweepstakes you understand that Hat Club, anyone acting on behalf of Hat Club, or its respective licensees, successors and assigns will have the right, where permitted by law, without any further notice, review or consent to print, publish, broadcast, distribute, and use, worldwide in any media now known or hereafter in perpetuity and throughout the World, your entry, including, without limitation, the entry and winner's name, portrait, picture, voice, likeness, image or statements about the Sweepstakes, and biographical information as news, publicity or information and for trade, advertising, public relations and promotional purposes without any further compensation.
9. Terms: Hat Club reserves the right, in its sole discretion to cancel, terminate, modify or suspend the Sweepstakes should (in its sole discretion) a virus, bugs, non-authorized human intervention, fraud or other causes beyond its control corrupt or affect the administration, security, fairness or proper conduct of the Sweepstakes. In such case, Hat Club may select the winner from among all eligible entries received prior to and/or after (if appropriate) the action taken by Hat Club. Hat Club reserves the right at its sole discretion to disqualify any individual who tampers or attempts to tamper with the entry process or the operation of the Sweepstakes or website associated with the Sweepstakes or violates these Official Rules.
Hat Club has the right, in its sole discretion, to maintain the integrity of the Sweepstakes, to void entries for any reason, including, but not limited to, multiple entries from the same person from different IP addresses; or the use of bots, macros or scripts or other technical means for entering. Any attempt by an entrant to deliberately damage any web site associated with the Sweepstakes or undermine the legitimate operation of the Sweepstakes may be a violation of criminal and civil laws and should such an attempt be made, Hat Club and applicable NAPBL Entities reserve the right to seek damages from any person responsible for the attempt to the fullest extent permitted by law.

10. Limitation of Liability: By entering you agree to release and hold harmless Hat Club, the NAPBL Entities, the MLB Entities and each of their respective subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers and directors from any liability, illness, injury, death, loss, litigation, claim or damage that may occur, directly or indirectly, whether caused by negligence or not, from (i) such entrant's participation in the Sweepstakes and/or his/her acceptance, possession, use, or misuse of the prize or any portion thereof, (ii) technical failures of any kind, including but not limited to the malfunctioning of any computer, cable, network, hardware or software; (iii) the unavailability or inaccessibility of any transmissions or telephone or Internet service; (iv) unauthorized human intervention in any part of the entry process or the Sweepstakes; (v) electronic or human error which may occur in the administration of the Sweepstakes or the processing of entries.
11. Disputes: THIS SWEEPSTAKES IS GOVERNED BY THE LAWS OF Arizona, WITHOUT RESPECT TO CONFLICT OF LAW DOCTRINES. As a condition of participating in this Sweepstakes, each participant agrees that any and all disputes which cannot be resolved between the parties, and causes of action arising out of or connected with this Sweepstakes, shall be resolved individually, without resort to any form of class action, exclusively before a court located in Arizona having jurisdiction. Further, in any such dispute, under no circumstances will participant be permitted to obtain awards for, and hereby waives all rights to claim punitive, incidental, or consequential damages, including reasonable attorneys' fees, other than participant's actual out-of-pocket expenses (i.e. costs associated with entering this Sweepstakes), and participant further waives all rights to have damages multiplied or increased.
12. In the event of dispute as to the identity or eligibility of any potential winner based on an email address, the winning entry will be declared made by the Authorized Account Holder of the email address submitted at the time of entry provided he/she is eligible according to these Official Rules.  The “Authorized Account Holder” is defined as the natural person to whom the applicable Internet service provider or other organization (such as a business or educational institution) has assigned the email address for the domain associated with the submitted email address.

16. The Sweepstakes is in no way sponsored, administered, executed or produced by any NAPBL Entity or any MLB Entity. Minor League Baseball trademarks, service marks and copyrights are proprietary to the NAPBL Entities. Major League Baseball trademarks, service marks and copyrights are proprietary to the MLB Entities. All rights reserved.
17. This Sweepstakes is in no way sponsored, endorsed or administered by, or associated with Facebook, Twitter, Youtube, Pinterest, LinkedIn or Google. You understand that you are providing your information to Hat Club and not to Facebook, Twitter, Youtube, Pinterest, LinkedIn or Google.
