 BIOSTEEL - BLACK LEADERS IN SPORT AWARD 2022 (THE “CONTEST”)

OFFICIAL CONTEST RULES

THIS CONTEST IS GOVERNED BY CANADIAN LAW AND THE LAWS OF THE PROVINCE OF ONTARIO.

NO PURCHASE NECESSARY TO ENTER. PURCHASE DOES NOT FACTOR INTO THE SELECTION CRITERIA AND DOES NOT INCREASE THE ODDS OF WINNING.  CONTEST WINNER WILL BE SELECTED ON MERIT BASED ON THE SELECTION CRITERIA SET OUT HEREIN AND IN ACCODANCE WITH THESE RULES. CONTEST IS VOID WHERE PROHIBITED BY LAW.  SEE BELOW FOR FULL CONTEST DETAILS. PARTICIPATION IN THIS CONTEST, EITHER BY SUBMITTING A NOMINATION OR AS A NOMINEE CONSTITUTES YOUR FULL AND UNCONDITIONAL ACCEPTANCE OF, AND AGREEMENT TO BE LEGALLY BOUND BY, THESE CONTEST RULES (THE “CONTEST RULES”).

1. SPONSOR:  BIOSTEEL - BLACK LEADERS IN SPORT AWARD 2022 (the “Contest”) is sponsored by BioSteel, 87 Wingold Ave, North York, ON M6B 1P8 (the “Sponsor”).

2. ELIGIBILITY: The Contest is open to legal residents of Canada and the USA, who have reached the age of majority in their state, province or territory of residence at the time of entry, with the exception of employees of the Sponsor, its parent, related and affiliated companies, subsidiaries, departments or agencies, franchisees, suppliers, advertising and promotional agencies, contest administrators, and any other parties engaged in the development, production or distribution of Contest materials and those living in the same household. To be eligible for the Contest, the nominee must be involved with youth sport programs as a coach, mentor, teacher, parent, and/or trainer. By participating in this Contest, entrants submitting a nomination (“Entrants”) and nominees (“Nominees”) (collectively referred to as “Participants”) acknowledge compliance with, and agree to be bound by, these Contest Rules. Participants who do not comply with any of the Contest Rules are subject to disqualification by the Sponsor, in the Sponsor’s sole discretion. Sponsor reserves the right to verify all information received and may ask for additional information required to validate and assess the nomination, including, without limitation, the nomination details and the youth organization chosen by the Nominee. Failure to provide the information requested and/or inability to verify the information provided may lead to disqualification of the entry and/or the Nominee, at the Sponsor’s sole discretion.

3. CONTEST DATES AND TIMES: The Contest will run from February 9, 2022 at 12:01 am EST to March 9, 2022 at 11:59pm EST (“Entry Period”) , after which time the Contest will be closed and no further nominee submissions shall be accepted.

4. HOW TO ENTER: Entrant must submit the Nominee submission (“Entry”) for the Contest at https://biosteel.ca/pages/black-leaders-in-sport-award?. Entry submissions must include information about the Nominee and specific examples of how the Nominee is a leader in the Black youth/sport community including specific information on how the Nominee meets the selection criteria listed in section 7 below. One Entry per Entrant. There is no limit to the number of Entries that can be received for one Nominee as long as the Entries are not received from the same person. The Entrant and the Nominee cannot be the same person. Any attempt or suspected attempt to use robotic, automatic, programmed, or otherwise, illicit means to enter the Contest, or any other methods not authorized by these Contest Rules, for example, but not limited to, creating multiple accounts, identities, or registrations, all in the Sponsor’s sole discretion, shall be deemed as tampering and may disqualify you from entering, participating and/or winning a prize. Entries that contain false or incomplete information are void. Entries that are late, lost, stolen, illegible, contain false information, are damaged, misdirected, mutilated, garbled or incomplete, altered or otherwise irregular or that do not conform with or satisfy any or all of the conditions of the Contest Rules are void. Participants grant Sponsor a non-exclusive license to use all Entries for any purpose. No correspondence will be entered into except with selected Participants. Proof of transmission (screenshots or captures, etc.) does not constitute proof of entry or receipt of an entry.

5. CONTEST PRIZES: Two grand Prizes, each in the amount of $10,000.00 Canadian dollars, will be awarded to the local Black youth organization/charity chosen by each winner selected by the selection committee. In addition, the two winners will each receive free BioSteel products for a year for personal use OR for the winner’s youth/sport team (maximum value of $2,000.00 Canadian dollars each). The assortment of the year’s supply of Sponsor products may be subject to change be at the Sponsor’s sole discretion. The winners will also each receive a plaque in their name as the recipient of the award. The winners assume any and all liability for any injury or damage caused, or claimed to be caused, by accepting the nomination and entering, participating in this contest or use or redemption of a prize. Prizes must be accepted as awarded and have no cash value, unless expressly stated otherwise. Prizes or any portion thereof cannot be combined with other discounts, promotions or special offers. BioSteel products are subject to availability. Sponsor reserves the right to substitute an alternate prize of equal or greater value if an advertised prize is unavailable at time of award. The Contest Prizes are not transferrable, unless expressly indicated otherwise.

6. ODDS OF WINNING: The winners will be selected purely based on merit (not by chance) based on the selection criteria set out in section 7. The chances of being selected depend on the number of eligible Entries received during the Entry Period and the quality of the aforesaid Entries as measured against the selection criteria.

7. JUDGING CRITERIA AND WINNER CONFIRMATION: A total of two (2) Nominees will be selected as the potential winners for the BioSteel - Black Leaders in Sport Award 2022 (the “Selected Nominees”). The Selected Nominees will be chosen on March 11, 2022 by the Sponsor selection committee based on the following criteria: overall impression of leadership and community impact demonstrated in the Entry; the number of nominations received for the same Nominee; the impact the Nominee has had on their community as demonstrated in the Entry details, the lasting impact the Nominee has on their community as demonstrated in the Entry.

A Selected Nominee will be deemed a winner if he/she meets all of the eligibility criteria set out in these Contest Rules. If a Selected Nominees does not meet the eligibility criteria, he/she will be disqualified and will not receive a prize and another Nominee will be selected by the Sponsor selection committee from the remaining eligible Entries based on the criteria set out above. Before being declared a winner, the Selected Nominees, the Entrant(s) as well as the recipient youth organizations of the monetary prize will each be required to: (i) sign and return the Sponsor’s Declaration of Eligibility and Liability/Publicity Release form; and (ii) comply with all other Contest Rules, all in the sole discretion of Sponsor.

The Selected Nominees will be notified within ten (10) business days of the decision of the Sponsor selection committee and will be contacted via the email address provided at the time of Entry by the Entrant or directly (if the email address of the Selected Nominee is available), in Sponsor’s sole discretion, and up to two additional attempts will be made within 24 hours each the first attempt . Selected Nominees that do not or cannot accept the prize may be forfeited. The Sponsor’s release form must be signed by the Selected Nominee, Entrants and youth organization of the nominee’s choice and received by the Sponsor within the timelines provided by the Sponsor. Sponsor is not responsible for the failure for any reason whatsoever of a Selected Nominee and Entrant to receive notification or for the Sponsor to receive a Selected Nominees or Entrants response. The Selected Nominee is solely responsible for the collection of the response as well as the Sponsor Release from the youth organization. 

Disputes regarding identity of Participant: If the identity of a Selected Nominee and/or the Entrant is disputed, the Entry will be deemed to have been submitted by the Authorized Account Holder (the individual assigned to the e-mail address or, if applicable for entry, social media handle associated with the entry). Each Selected Nominee and Participant may be required to provide proof that he/she is the Authorized Account Holder associated with the selected Entry and/or to confirm that they are the individual nominated in the selected Entry.

8. RELEASE AND INDEMNIFICATION: The Selected Nominee, the corresponding Entrant(s) and the recipient youth organization selected must each sign the Sponsor’s Declaration of Eligibility and Liability/Publicity Release form to: (i) confirm compliance with the Contest Rules; (ii) agree to accept the prize as awarded; (iii) release, discharge and hold harmless the Sponsor, their respective departments and agencies, parent, related and affiliated companies, subsidiaries, franchisees, advertising and promotional agencies, counsel, marketing partners, and each of their respective directors, officers, employees, shareholders, successors, sponsors, partners, licensees, subsidiaries, agents, artists, advisors, assignees, and all others associated with the administration, development and execution of the Contest (the “Released Parties”) from and against any and all manner of action, cause of action, claim or demand, loss or injury, use or misuse of a prize or any travel related thereto, and the use of the Entry by the Sponsor, suit, debt, covenant, contract, including legal fees and expenses, whatsoever, including but not limited to, claims based on negligence, breach of contract and fundamental breach, failure of any third party contractor or supplier used in connection with any aspect of the Contest to perform or deliver any goods or services, any act of God or any other event beyond the Released Parties’ control, any dissatisfaction of any kind by a winner with any aspect of the Contest or any prize, liability for physical injury, death, or property damage which the Participants and recipient youth organization, guests, their heirs, successors or assigns have, might have or could have suffered, by reason of or arising out of the Participant’s participation in the Contest and/or in connection with the acceptance and/or exercise by the Participant of the Prize as awarded; and (iv) indemnify the Released Parties against any loss, damage or expense, including legal fees, that any of the Released Parties may suffer or incur as a result of any non-compliance by an Participant or the recipient youth organization with any of the Contest Rules or participation in the Contest and/or in connection with the acceptance and/or exercise by an Participant of a prize and the use of the Entry by Sponsor. The Sponsor is not responsible for: (i) incorrect or inaccurate entry information which may affect a person’s ability to participate in the Contest or be awarded a prize, including but not limited to human error, technical malfunctions, lost or delayed entries for any reason, mail failures, omission, or any combination thereof, and entries which fail to fully comply with these Contest Rules; (ii) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (iii) lost, incomplete, delayed, mutilated or misdirected entries or Declaration and Release forms; (iv) injury or damage to the Participant’s computer or to any other individual’s computer related to or resulting from participating in, or downloading any material regarding the Contest or accepting a prize; (v) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Participant’s participation in the Contest or receipt or use or misuse of any prize, including any travel related thereto and the use of the Entry by Sponsor; (vi) the security or privacy of information transmitted via computer networks or for breaches of privacy due to interference by third party computer “hackers” or otherwise; or (vii) late, lost, misdirected or unsuccessful efforts to notify a potential winner.

9. OTHER CONDITIONS: The Sponsor reserves the right to terminate or amend this Contest at any time and in any way, without prior notice. Without limiting the foregoing, if, for any reason, the Contest is not capable of running as originally planned for any reason, the Sponsor reserves the right to cancel the Contest and conduct a random draw from all previously received eligible entries received by the Contest End Date.

10. PRIVACY, CONSENT TO BE CONTACTED, PUBLICITY, PARTICIPANT’S INFORMATION: By entering this Contest, each Participant expressly consents to the Sponsor’s Privacy Policy (available at: https://biosteel.com/policies/privacy-policy) (“Privacy Policy”) and further expressly consents to the Sponsor, its agents and/or representatives, storing, sharing and using the personal information submitted with his/her Entry only for the purpose of administering the Contest and in accordance with said Privacy Policy unless the Participant otherwise agrees to receive further communications from Sponsor as part of this Contest or otherwise. By participating in the Contest, Participants consent to the use of their name, address, postal code, social media handles, comments and image, whether on videotape, photograph or any other means, for the administration of this Contest or any publicity carried out by the Sponsor, without further notice or compensation.

11. LAW: The Contest is void where prohibited by law and is subject to all applicable Canadian federal, provincial, territorial, municipal and local laws. This Contest shall be governed exclusively by the laws of Ontario, including all issues and questions concerning the construction, validity, interpretation and enforceability of these Contest Rules, rights and obligations between Participants and the Sponsor, and procedural provisions, without giving effect to any choice of law or conflict of law rules. Any dispute shall be adjudicated by the courts sitting in Ottawa, Ontario.

12. RULE AMENDMENTS: The Sponsor reserves the right, in its sole discretion, to amend or modify these Contest Rules, or modify, cancel or suspend this Contest, without prior notice for any reason whatsoever, including without limitation in the event that any cause beyond the reasonable control of the Sponsor corrupts, or threatens to corrupt, the security or proper administration of the Contest.

13. WINNER LIST:  For the complete list of past award winners , send a self-addressed, stamped envelope with the message below written in the notice by December 31, 2022 to:  BioSteel, 87 Wingold Ave, North York, ON M6B 1P8. In the notice please write: “Please send the Official Winner list for the BioSteel - Black Leaders in Sport Award 2022”

14. INTELLECTUAL PROPERTY: All intellectual property, including but not limited to trademarks, logos, designs, promotional materials, web pages, source codes, images, drawings, illustrations, slogans and representations are owned by the Sponsor. All rights are reserved. Unauthorized copying or use of any copyrighted material or other intellectual property without the express written consent of the Sponsor is strictly prohibited. The Sponsor’s marketing or other partners, if any, shall also have access to and rights to reproduce, copy or otherwise use any materials generated by this Contest or any submissions or materials generated by Participants.
