NO PURCHASE OR PAYMENT OF MONEY IS NECESSARY TO ENTER OR WIN THIS PROMOTION. A PURCHASE OR PAYMENT OF MONEY WILL NOT IMPROVE THE CHANCES OF WINNING. THIS PROMOTION IS IN NO WAY SPONSORED, ENDORSED OR ADMINISTERED BY, OR ASSOCIATED WITH ANY SOCIAL MEDIA PLATFORM, INCLUDING WITHOUT LIMITATION LINKEDIN, TIKTOK, YOUTUBE, FACEBOOK OR INSTAGRAM FROM META (“SOCIAL MEDIA PLATFORM(S)”). 

The Masters of the Universe Power Giveaway (the “Promotion”) is intended for legal residents of the contiguous United States of America (“USA”) and Canada and shall only be construed and evaluated according to applicable USA law, Canada law, and applicable state/province/territory law. Do not enter this Promotion if you are not a USA or Canada resident or are otherwise ineligible to enter in accordance with these Official Rules at the time of entry. The Promotion is sponsored by PERFECT Sports Canada Inc., 1-325 Addison Hall Circle, Aurora, ON Canada L4G 3X8 (the “Sponsor”).

ELIGIBILITY: The Promotion is open to legal residents of the USA (including D.C., excluding residents of Alaska and Hawaii) or Canada who are at least eighteen (18) years of age or have reached the age of majority in their respective state/province/territory of residence at the time of entry (the “Entrants”). The Sponsor, ViralSweep LLC (the “Administrator”), their respective parent companies, employees, officers, directors, subsidiaries, affiliates, distributors, sales representatives and advertising and promotional agencies, and the officers, directors, agents, and employees of each of the foregoing (collectively, the “Released Parties”), and members of their immediate families (defined as including spouse, biological, adoptive and step-parents, grandparents, siblings, children and grandchildren, and each of their respective spouses, regardless of where they reside) or households (whether related or not) of any of the above are NOT eligible to participate in this Promotion. Non-eligibility or non-compliance with any of these Official Rules will result in disqualification. Void where prohibited or restricted by law. (For the avoidance of doubt, any references in these Rules to Entrants shall also include the Entrants who are deemed the Winners (as defined below)).

AGREEMENT TO OFFICIAL RULES: By participating, Entrants agree to abide by and be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all matters relating to the Promotion. Winning a Prize (as defined below) is contingent upon fulfilling all requirements set forth herein.

TIMING: The Promotion begins at 12:00:01 a.m. EST on April 25, 2026, and ends at 11:59:59 p.m. EST on December 7, 2026 (“Promotion Period”). The Sponsor’s database computer is the official time-keeping device for the Promotion. For the purpose of this Promotion, the Promotion Period will be divided into four (4) entry periods (“Entry Period”):

HOW TO ENTER/PARTICIPATE: Two (2) methods of entry are as follows:

1. Online – During the Promotion Period, Entrants can enter the Promotion by visiting https://perfectsports.com/motu (the “Website”). At the Website, Entrants can enter the Promotion by completing the registration form which will request each Entrant’s full name, phone, city, state/province, postal code and email address. Each completed Promotion registration form will result in one (1) Sweepstakes entry (“Registration Entry”). Limit one (1) Registration Entry per Entrant. 

To be valid, each entry must provide all requested information. Proof of entry information at the Website is not considered proof of delivery to or receipt by Sponsor of an entry. Entries made by any other individual or any entity, and/or originating at any other website or email address, including, but not limited to, commercial Promotion subscription notification and/or entering service sites, will be declared invalid and disqualified for this Promotion. The use of automated entry devices is prohibited, and no mechanically reproduced entries are allowed; all such entries are void.

Entrants can obtain bonus Sweepstakes entries post-registration at the Website through any of the following actions:

-Instagram: Follow the Sponsor’s Instagram page through the provided link and receive one (1) entry. Limit one (1) bonus entry (through this feature) per Entrant.

-Facebook: Follow the Sponsor’s Facebook page through the provided link and receive one (1) entry. Limit one (1) bonus entry (through this feature) per Entrant.

-YouTube: Subscribe the Sponsor’s YouTube page through the provided link and receive one (1) entry. Limit one (1) bonus entry (through this feature) per Entrant.

-TikTok: Follow the Sponsor’s TikTok page through the provided link and receive one (1) entry. Limit one (1) bonus entry (through this feature) per Entrant.

-LinkedIn: Follow the Sponsor’s LinkedIn page through the provided link and receive one (1) entry. Limit one (1) bonus entry (through this feature) per Entrant.

-Refer-A-Friend: Entrants also have the opportunity to earn bonus entries via the post-entry refer-a-friend feature. Entrants will be given a unique URL address to share with their friends. For every friend that enters the Promotion through the unique URL, the original referrer will receive one (1) bonus entry. Limit three (3) bonus entries (through this feature) per Entrant.

-Purchase: Purchase Sponsor products at the Website during the Promotion Period and receive one (1) entry for every one (1) whole dollar spent. 

-Receipt Upload: Upload any customer receipt from a transaction made during the Promotion Period showing proof of purchase of a Sponsor product and receive one (1) entry for every one (1) dollar spent on a Sponsor product. 

-Watch Video: Watch the Sponsor’s promotional video through the provided link and receive one (1) entry. Limit one (1) bonus entry (through this feature) per Entrant.

2. Via Mail - During the Promotion Period, Entrants can obtain Sweepstakes entries by legible hand-printing, on a 3”x 5” card or paper, their full name, complete mailing address, phone number, date of birth, email address, and mailing the card in a #10 business-sized envelope, with proper postage affixed, to: PERFECT Sports MOTU Sweepstakes, PO Box 470, Macedon, NY 14502-0470. All entries must be postmarked by December 7, 2026, and received by December 12, 2026. Each mail-in entry received with be worth one hundred twenty-five (125) Sweepstakes entries **NOTE: Mail-in entry card and envelope must be hand-printed by the Entrant only. In addition, Entrants are not permitted to use any 3rd party organization to assist with the entry process in any way (as determined by the Administrator). Each Envelope must be mailed individually. Bulk shipments of entries will not be accepted. No correspondence will be acknowledged; request for confirmation of receipt of mail-in entries will not be acknowledged.

The Released Parties are not responsible for late, incomplete, delayed, undelivered, or misdirected entries. All entries become the exclusive property of Sponsor and will not be acknowledged or returned except as provided herein. By participating, you consent to Sponsor’s and its agents’ use of your personal information for the administration of this Promotion. All information submitted by Entrants will be treated according to Sponsor’s Privacy Policy, available at https://perfectsports.com/motu/. By entering the Promotion and providing their email address and other contact information, Entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy. 

INSTANT WIN PRIZE WHEEL/INSTANT PRIZES: After confirmation of Registration Entry, Entrants will be given the option to spin the instant prize wheel. Entrants will be permitted to spin the wheel one (1) time throughout the Promotion Period (unless a spin generates an additional spin). Odds of winning an instant win prize will depend on the total number of Registration Entries, wheel spins and the time of each spin.

There will be up to ten (10) instant win prizes available each week during the Promotion Period (320 total instant win prizes). Each instant win prize winner (“Winner”) will receive a prize to be determined by the Sponsor (“Prize”). Instant Prizes each have an approximate retail value of $98.50 USD. Total Prize Pool of all instant Prizes is $31,520 USD. 

SWEEPSTAKES DRAWING AND NOTIFICATION: The potential Grand Prize Winners will be selected in four (4) random drawings conducted by the Administrator. There will be one (1) drawing per Entry Period and one (1) potential Grand Prize Winner per drawing. The Grand Prize drawings will be conducted on or about June 19, 2026, August 19, 2026, October 21, 2026, and December 14, 2026. Odds of winning a Grand Prize will depend on the total number of eligible entries received at the time of each drawing. The potential Grand Prize Winners will each be contacted by the Sponsor or Administrator via phone and/or email.

SWEEPSTAKES GRAND PRIZES: There will be four (4) Grand Prizes available. Each Grand Prize Winner (also “Winner”), upon the Administrator’s confirmation of eligibility, will receive a prize package inclusive of the following:

• Official He-Man Power Sword + display case ($980)

• 1-year supply Shopping Spree PERFECT Sports MOTU products ($1,000 USD)

• Movie Gift Card (AMC/Cineplex) $200 USD

• $2,500 USD cash prize

 (“Prize” or “Grand Prize”)

Grand Prize ARV - $4,680 USD. Total Sweepstakes Prize Pool - $18,720 USD. TOTAL PROMOTION PRIZE POOL - $50,240 USD. All other expenses associated with Prize acceptance or usage not specifically mentioned herein are the responsibility of the Winners. No substitution or transfer of the Grand Prize will be permitted, except by the Sponsor, who reserves the right at its sole discretion to substitute the Grand Prize (or Grand Prize component) with another prize of equal or greater value.

ADDITIONAL PRIZE CONDITIONS: By accepting a Prize, the Winners agree to release and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of their Prize. The potential Grand Prize Winners are required to sign and return to the Administrator, within seven (7) days of the date of notice or attempted notice is sent, an Affidavit of Eligibility, Liability & Publicity Release (if USA resident) or a Declaration of Compliance (if Canadian resident) in order to claim the Grand Prize. The Grand Prize Winners may also be requested to complete an IRS W9 form (or W8-BEN for a Canada resident). Note: The Affidavit sent to a USA potential Winner will require that the Winner provide their Social Security Number to the Administrator, which will be used solely for tax reporting purposes. The Winners will be responsible for all local, state, and federal taxes associated with the receipt of their Prize. The Grand Prize Winners must note that the value of the Grand Prize is taxable as income and an IRS Form 1099 will be filed in the name of the Winner for the value of the Prize (applicable to USA Winner only). The Winners are solely responsible for all matters relating to the Prize after it is awarded. If a Prize or Prize notification is returned as unclaimed or undeliverable to the potential Winner, if a potential Winner cannot be reached or does not comply with notification instructions within three (3) business days from the first notification attempt, if a potential Grand Prize Winner fails to return requisite document(s) within the specified time period, or if a potential Winner is not in compliance with these Official Rules, then such person shall be disqualified and, at Sponsor’s sole discretion, an alternate Winner may be selected

Should a selected Winner be a Canadian resident, the selected Entrant must answer correctly without assistance of any kind, whether mechanical, electronic, or otherwise, a mathematical skill-testing question posed by mail or telephone. If the selected Entrant fails to correctly answer the question, he/she will be disqualified, and another Entrant will be randomly selected. The potential Winner who correctly answers the skill-testing question will be notified by telephone and/or mail and/or email at the Sponsors’ discretion using the contact information provided at the time of entry. If the potential winner is determined to be less than the age of majority in his/her province of residence, then the potential winner will be disqualified, and an alternate winner will be selected in their place.  

By accepting a Prize, where permitted by law, the Winners grant to the Released Parties and those acting pursuant to the authority of Sponsor and the Released Parties (which grant will be confirmed in writing upon Sponsor’s request), the right to print, publish, broadcast and use worldwide IN ALL MEDIA without limitation at any time their full name, portrait, picture, voice, likeness and/or biographical information for advertising, trade and promotional purposes without further payment or additional consideration, and without review, approval or notification. The Winners also acknowledge that Released Parties have neither made nor are in any manner responsible or liable for any warranty, representation, or guarantee, express or implied, in fact or in law, relative to their Prize.

GENERAL CONDITIONS: If for any reason the operation or administration of this Promotion is impaired or incapable of running as planned for any reason, including but not limited to (i) infection by computer virus, bugs, (ii) tampering, unauthorized intervention, (iii) fraud, (iv) technical failures, or (v) any other causes beyond the control of the Sponsor which corrupt or affect the administration, security, fairness, integrity or proper conduct of this Promotion, the Sponsor reserves the right at its sole discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Promotion in whole or in part, at any time, without notice and award the Prizes using all non-suspect eligible entries received as of, or after (if applicable) this cancellation, termination, modification or suspension date, or in any manner that is fair and equitable and best conforms to the spirit of these Official Rules. Sponsor reserves the right, at its sole discretion, to disqualify any individual deemed to be tampering or attempting to tamper with the entry process or the operation of the Promotion or Sponsor’s Websites; or acting in violation of these Official Rules or in an unsportsmanlike or disruptive manner. 

CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION IS A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE; THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES OR OTHER REMEDIES FROM ANY SUCH PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW. 

Failure by the Sponsor to enforce any provision of these Official Rules shall not constitute a waiver of that provision. In the event of a dispute as to the identity of a Winner based on an email address, the winning entry will be declared by the authorized account holder of the email address associated with the registration in question. "Authorized account holder" is defined as the natural person who is assigned to an email address by an Internet access provider, online service provider or other organization (e.g., business, educational, institution, etc.) that is responsible for assigning email addresses for the domain associated with the submitted email address.

RELEASE AND LIMITATIONS OF LIABILITY: By participating in the Promotion, Entrants agree to release and hold harmless the Released Parties and Social Media Platforms from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of any Prize, including, but not limited to: (i) any technical errors that may prevent an Entrant from submitting an entry; (ii) unauthorized human intervention in the Promotion; (iii) printing errors; (iv) errors in the administration of the Promotion or the processing of entries; or (v) injury, death, or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from Entrant’s participation in the Promotion or receipt of the Prizes. Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. Released Parties are not responsible for any problems or technical malfunction of any telephone network or telephone lines, computer online systems, servers, or providers, computer equipment, software, failure of any email or entry to be received by Sponsor on account of technical problems, human error or traffic congestion on the Internet or at any Website, or any combination thereof, including any injury or damage to Entrant's or any other person's computer relating to or resulting from participation in this Promotion or downloading any materials in this Promotion. Entrants further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Promotion, and in no event shall the Released Parties be liable for attorney fees. Entrants waive the right to claim any damages whatsoever, including, but not limited to, punitive, consequential, direct, or indirect damages. For New Jersey Residents: nothing herein bars recovery of damages or attorneys’ fees where mandated by statute.

Except as expressly provided above, IN NO EVENT WILL RELEASED PARTIES BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES) ARISING OUT OF PARTICIPATION IN THIS PROMOTION OR THE ACCEPTANCE, POSSESSION, USE, OR MISUSE OF, OR ANY HARM RESULTING FROM THE ACCEPTANCE, POSSESSION, USE OR MISUSE OF A PRIZE. 

By participating, Entrants release and agree to hold harmless the Released Parties from any and all liability for any injuries, death or losses or damages to persons or property AS WELL AS CLAIMS/ACTIONS BASED ON PUBLICITY RIGHTS, DEFAMATION, AND/OR INVASION OF PRIVACY that may arise from participating in this Promotion or its related activities or the acceptance, possession, use or misuse of, or any harm resulting from the acceptance, possession, use or misuse of a Prize. Released Parties are not liable in the event that any portion of the Promotion is cancelled due to weather, fire, strike, acts of war or terrorism, pandemic, or any other condition beyond their control.

EACH ENTRANT UNDERSTANDS AND AGREES THAT ALL RIGHTS UNDER SECTION 1542 OF THE CIVIL CODE OF CALIFORNIA AND ANY SIMILAR LAW OF ANY STATE OR TERRITORY OF THE USA OR CANADA ARE HEREBY EXPRESSLY WAIVED BY HIM/HER.  SECTION 1542 READS AS FOLLOWS:

“A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS THAT THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE AND THAT, IF KNOWN BY HIM OR HER, WOULD HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

DISPUTES: All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules or the rights and obligations of Entrants, Administrator, and Sponsor in connection with the Promotion shall be governed by and construed in accordance with the laws of the province of Ontario, without giving effect to any choice of law or conflict of law rules or provisions that would cause the application of any other state’s, province’s, or jurisdiction’s laws. By participating in the Promotion, Entrant agrees that: (i) any and all disputes, claims, and causes of action arising out of or in connection with the Promotion, shall be resolved individually without resort to any form of class action; (ii) any judicial proceeding shall take place in a court within the province of Ontario; (iii) any and all claims, judgments , and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Promotion, but in no event will attorney fees be awarded or recoverable; (iv) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to seek, punitive, incidental, exemplary, consequential, special damages, lost profits, other damages, and/or any rights to have damages multiplied or otherwise increased; and (v) Entrant’s remedies are limited to a claim for money damages (if any) and he/she waives any right to seek injunctive or equitable relief. 

SEVERABILITY: The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. If any provision of the Official Rules is determined to be invalid or otherwise unenforceable, the other provisions will remain in effect and will be construed as if the invalid or unenforceable provision were not contained herein. 

MISCELLANEOUS: These Official Rules contain the full and complete understanding with respect to the Promotion and supersede all prior and contemporaneous agreements, representations, and understandings, whether oral or written. The headings herein are for convenience only, do not constitute a part of these Official Rules, and shall not be deemed to limit or affect any of the provisions hereof. No amendment to, or waiver of, any provision of these Official Rules shall be effective unless in writing and signed by both Sponsor and Administrator. The waiver by Sponsor or Administrator of any provision of these Official Rules shall not constitute a waiver of any other provision herein. The rights and obligations hereunder may not be assigned by Entrants, whether by operation of law or otherwise, without the prior written consent of Sponsor, and any attempted assignment in violation of the foregoing shall be null and void. These Official Rules shall be binding upon, and inure to the benefit of, the permitted successors and assigns of Sponsor, Administrator, and Entrant.

En ligne – Pendant la Période de promotion, les Participants peuvent participer à la Promotion en visitant le site https://perfectsports.com/motu (le « Site Web »). Sur le Site Web, les Participants peuvent participer à la Promotion en remplissant le formulaire d’inscription qui demandera à chaque Participant son nom complet, son numéro de téléphone, sa ville, son État/province, son code postal et son adresse courriel. Chaque formulaire d’inscription à la Promotion dûment rempli donnera droit à une (1) participation au Concours (« Participation par inscription »). Limite d’une (1) Participation par inscription par Participant.

Pour être valide, chaque participation doit fournir tous les renseignements demandés. La preuve de saisie des renseignements sur le Site Web n’est pas considérée comme une preuve de livraison au Commanditaire ou de réception par lui d’une participation. Les participations effectuées par tout autre individu ou toute autre entité, et/ou provenant de tout autre site Web ou adresse courriel, incluant, sans s’y limiter, les sites commerciaux d’abonnement à des notifications de promotion et/ou de services de participation, seront déclarées invalides et disqualifiées pour cette Promotion. – YouTube : Abonnez-vous à la chaîne YouTube du Commanditaire via le lien fourni et recevez une (1) participation. Limite d’une (1) participation supplémentaire (par cette fonctionnalité) par Participant.

– TikTok : Abonnez-vous à la page TikTok du Commanditaire via le lien fourni et recevez une (1) participation. Limite d’une (1) participation supplémentaire (par cette fonctionnalité) par Participant.

– LinkedIn : Abonnez-vous à la page LinkedIn du Commanditaire via le lien fourni et recevez une (1) participation. Limite d’une (1) participation supplémentaire (par cette fonctionnalité) par Participant.

– Parrainage : Les Participants ont également la possibilité d’obtenir des participations supplémentaires grâce à la fonctionnalité de parrainage disponible après l’inscription. Les Participants recevront une URL unique à partager avec leurs amis. Pour chaque ami qui participera à la Promotion via l’URL unique, le parrain d’origine recevra une (1) participation supplémentaire. Limite de trois (3) participations supplémentaires (par cette fonctionnalité) par Participant.

– Achat : Achetez des produits du Commanditaire sur le Site Web pendant la Période de promotion et recevez une (1) participation pour chaque dollar entier dépensé.

– Téléversement de reçu : Téléversez tout reçu d’un client d’une transaction effectuée pendant la Période de promotion faisant preuve de l’achat d’un produit du Commanditaire et recevez une (1) participation pour chaque dollar dépensé sur un produit du Commanditaire.

– Visionnement de vidéo : Regardez la vidéo promotionnelle du Commanditaire via le lien fourni et recevez une (1) participation. Limite d’une (1) participation supplémentaire (par cette fonctionnalité) par Participant.

Par courrier – Pendant la Période de promotion, les Participants peuvent obtenir des participations au Concours en écrivant lisiblement à la main, sur une carte ou un papier de 3” x 5”, leur nom complet, leur adresse postale complète, leur numéro de téléphone, leur date de naissance, leur adresse courriel, et en postant la carte dans une enveloppe commerciale format no 10 (#10), affranchie, à l’adresse suivante : PERFECT Sports MOTU Sweepstakes, PO Box 470, Macedon, NY 14502-0470. Toutes les participations doivent être postées au plus tard le 7 décembre 2026 et reçues au plus tard le 12 décembre 2026. Chaque participation par courrier reçue vaudra cent vingt-cinq (125) participations au Concours. **REMARQUE : La carte de participation par courrier et l’enveloppe doivent être écrites à la main uniquement par le Participant. Aucune correspondance ne sera accusée de réception ; les demandes de confirmation de réception des participations par courrier ne seront pas traitées.

Les Parties libérées ne sont pas responsables des participations tardives, incomplètes, retardées, non livrées ou mal dirigées. Toutes les participations deviennent la propriété exclusive du Commanditaire et ne seront pas accusées de réception ni retournées, sauf dans les cas prévus aux présentes. En participant, vous consentez à ce que le Commanditaire et ses mandataires utilisent vos renseignements personnels aux fins de l’administration de cette Promotion. Tous les renseignements fournis par les Participants seront traités conformément à la Politique de confidentialité du Commanditaire, disponible à l’adresse https://perfectsports.com/motu/. En participant à la Promotion et en fournissant leur adresse courriel et autres coordonnées, les Participants acceptent que le Commanditaire collecte et utilise leurs renseignements personnels et reconnaissent avoir lu et accepté la Politique de confidentialité du Commanditaire.

ROUE DE PRIX INSTANTANÉS / PRIX INSTANTANÉS : Après confirmation de la Participation par inscription, les Participants auront la possibilité de faire tourner la roue de prix instantanés. Les Participants seront autorisés à faire tourner la roue une (1) fois pendant toute la Période de promotion (sauf si un tour génère un tour supplémentaire). Les chances de gagner un prix instantané dépendront du nombre total de Participations par inscription, des tours de roue et de l’heure de chaque tour.

Il y aura jusqu’à dix (10) prix instantanés disponibles chaque semaine pendant la Période de promotion (320 prix instantanés au total). Chaque gagnant d’un prix instantané (« Gagnant ») recevra un prix déterminé par le Commanditaire (« Prix »). Chaque prix instantané a une valeur de détail approximative de 98,50 $ USD. La valeur totale de tous les prix instantanés est de 31 520 $ USD.

TIRAGE AU SORT ET NOTIFICATION : Les Gagnants potentiels du Grand Prix seront sélectionnés lors de quatre (4) tirages aléatoires effectués par l’Administrateur. Il y aura un (1) tirage par Période d’inscription et un (1) Gagnant potentiel du Grand Prix par tirage. Les tirages du Grand Prix auront lieu aux alentours du 19 juin 2026, du 19 août 2026, du 21 octobre 2026 et du 14 décembre 2026. Les chances de gagner un Grand Prix dépendront du nombre total de participations admissibles reçues au moment de chaque tirage. Les Gagnants potentiels du Grand Prix seront chacun contactés par le Commanditaire ou l’Administrateur par téléphone et/ou par courriel.

GRANDS PRIX DU CONCOURS : Il y aura quatre (4) Grands Prix disponibles. Chaque Gagnant du Grand Prix (aussi désigné « Gagnant »), après confirmation de son admissibilité par l’Administrateur, recevra un ensemble de prix comprenant ce qui suit :

– Épée officielle He-Man Power Sword + présentoir (980 $ USD)

– Approvisionnement d’un an en produits PERFECT Sports MOTU sous forme de bon d’achat (1 000 $ USD)

– Carte-cadeau cinéma (AMC/Cineplex) de 200 $ USD

– Prix en argent de 2 500 $ USD

« Prix » ou « Grand Prix »)

Valeur au détail approximative du Grand Prix – 4 680 $ USD. Valeur totale du bassin de prix du Concours – 18 720 $ USD. VALEUR TOTALE DU BASSIN DE PRIX DE LA PROMOTION – 50 240 $ USD. Tous les autres frais associés à l’acceptation ou à l’utilisation du Prix qui ne sont pas spécifiquement mentionnés aux présentes sont à la charge des Gagnants. Aucune substitution ni transfert du Grand Prix ne sera permis, sauf par le Commanditaire, qui se réserve le droit à sa seule discrétion de substituer le Grand Prix (ou une composante du Grand Prix) par un autre prix de valeur égale ou supérieure.

CONDITIONS SUPPLÉMENTAIRES RELATIVES AUX PRIX : En acceptant un Prix, les Gagnants acceptent de libérer et d’exonérer les Parties libérées de toute réclamation ou cause d’action découlant de leur participation à la Promotion ou de la réception ou de l’utilisation de leur Prix. Les Gagnants potentiels du Grand Prix doivent signer et retourner à l’Administrateur, dans les sept (7) jours suivant la date d’envoi de l’avis ou de la tentative d’avis, une Déclaration d’admissibilité, de responsabilité et de renonciation à la publicité (pour les résidents des États-Unis) ou une Déclaration de conformité (pour les résidents du Canada) afin de réclamer le Grand Prix. Les Gagnants du Grand Prix peuvent également être requis de remplir un formulaire W-9 de l’IRS (ou W-8BEN pour les résidents du Canada). Remarque : La déclaration envoyée à un Gagnant potentiel américain exigera que le Gagnant fournisse son numéro de sécurité sociale (Social Security Number) à l’Administrateur, qui sera utilisé uniquement à des fins de déclaration fiscale. Les Gagnants seront responsables de tous les impôts locaux, d’État et fédéraux associés à la réception de leur Prix. Les Gagnants du Grand Prix doivent noter que la valeur du Grand Prix est imposable à titre de revenu et un formulaire IRS 1099 sera produit au nom du Gagnant pour la valeur du Prix (applicable aux Gagnants américains seulement). Les Gagnants sont seuls responsables de toutes les questions relatives au Prix après son attribution. Si un Gagnant sélectionné est résident du Canada, le Participant sélectionné doit répondre correctement, sans aide d’aucune sorte, qu’elle soit mécanique, électronique ou autre, à une question de mise en jeu de nature mathématique posée par courrier ou par téléphone. Si le Participant sélectionné ne répond pas correctement à la question, il/elle sera disqualifié(e) et un autre Participant sera sélectionné aléatoirement. Le Gagnant potentiel ayant répondu correctement à la question de mise en jeu sera notifié par téléphone et/ou courrier et/ou courriel à la discrétion des Commanditaires, en utilisant les coordonnées fournies au moment de l’inscription. Si le Gagnant potentiel est déterminé être en dessous de l’âge de la majorité dans sa province de résidence, le Gagnant potentiel sera disqualifié et un autre Gagnant sera sélectionné à sa place.

En acceptant un Prix, dans la mesure permise par la loi, les Gagnants accordent aux Parties libérées et à ceux agissant en vertu de l’autorité du Commanditaire et des Parties libérées (cette autorisation sera confirmée par écrit sur demande du Commanditaire), le droit d’imprimer, de publier, de diffuser et d’utiliser dans le monde entier DANS TOUS LES MÉDIAS, sans limitation et à tout moment, leur nom complet, portrait, photographie, voix, image et/ou information biographique à des fins publicitaires, commerciales et promotionnelles, sans rémunération supplémentaire ni contrepartie additionnelle, et sans examen, approbation ou notification. Les Gagnants reconnaissent également que les Parties libérées n’ont fait ni ne sont en aucune manière responsables ou redevables d’aucune garantie, déclaration ou assurance, expresse ou implicite, en fait ou en droit, relative à leur Prix.

CONDITIONS GÉNÉRALES : Si pour quelque raison que ce soit l’exploitation ou l’administration de cette Promotion est compromise ou incapable de se dérouler comme prévu, notamment : (i) en raison d’une infection par un virus informatique, de bogues, (ii) de falsification, d’intervention non autorisée, (iii) de fraude, (iv) de défaillances techniques, ou (v) de toute autre cause échappant au contrôle du Commanditaire qui compromet ou affecte l’administration, la sécurité, l’équité, l’intégrité ou le bon déroulement de cette Promotion, le Commanditaire se réserve le droit, à sa seule discrétion, de disqualifier tout individu qui altère le processus de participation, et d’annuler, de mettre fin, de modifier ou de suspendre la Promotion en tout ou en partie, à tout moment, sans préavis, et d’attribuer les Prix en utilisant toutes les participations admissibles non suspectes reçues à la date d’annulation, de résiliation, de modification ou de suspension ou après cette date (le cas échéant), ou de toute autre manière équitable qui correspond le mieux à l’esprit du présent Règlement officiel. Le Commanditaire se réserve le droit, à sa seule discrétion, de disqualifier tout individu jugé en train de falsifier ou tentant de falsifier le processus de participation ou le fonctionnement de la Promotion ou des sites Web du Commanditaire ; ou agissant en violation du présent Règlement officiel ou d’une manière antisportive ou perturbatrice.

MISE EN GARDE : TOUTE TENTATIVE DÉLIBÉRÉE D’ENDOMMAGER UN SITE WEB OU DE COMPROMETTRE LE FONCTIONNEMENT LÉGITIME DE LA PROMOTION CONSTITUE UNE VIOLATION DES LOIS PÉNALES ET CIVILES ET, SI UNE TELLE TENTATIVE EST FAITE, LE COMMANDITAIRE SE RÉSERVE LE DROIT DE RÉCLAMER DES DOMMAGES-INTÉRÊTS OU D’AUTRES RECOURS CONTRE TOUTE PERSONNE RESPONSABLE DE CETTE TENTATIVE DANS TOUTE LA MESURE PERMISE PAR LA LOI.

Le fait pour le Commanditaire de ne pas faire respecter une disposition du présent Règlement officiel ne constitue pas une renonciation à cette disposition. En cas de litige quant à l’identité d’un Gagnant basé sur une adresse courriel, la participation gagnante sera déclarée par le titulaire autorisé du compte de l’adresse courriel associée à l’inscription en question. Le « titulaire autorisé du compte » est défini comme la personne physique à qui une adresse courriel est attribuée par un fournisseur d’accès Internet, un fournisseur de services en ligne ou toute autre organisation (p. ex. : entreprise, établissement d’enseignement, etc.) chargée d’attribuer des adresses courriel pour le domaine associé à l’adresse courriel soumise.

DÉCHARGE DE RESPONSABILITÉ ET LIMITATIONS DE RESPONSABILITÉ : En participant à la Promotion, les Participants acceptent de libérer et d’exonérer les Parties libérées et les Plateformes de médias sociaux de toute réclamation ou cause d’action découlant de leur participation à la Promotion ou de la réception ou de l’utilisation de tout Prix, incluant, sans s’y limiter : (i) toute erreur technique pouvant empêcher un Participant de soumettre une participation ; (ii) toute intervention humaine non autorisée dans la Promotion ; (iii) les erreurs d’impression ; (iv) les erreurs dans l’administration de la Promotion ou le traitement des participations ; ou (v) les blessures, le décès ou les dommages matériels pouvant être causés, directement ou indirectement, en tout ou en partie, par la participation d’un Participant à la Promotion ou par la réception des Prix. Les Parties libérées n’assument aucune responsabilité pour toute erreur, omission, interruption, suppression, défaut, retard dans l’exploitation ou la transmission, défaillance de la ligne de communication, vol ou destruction, ou accès non autorisé à des participations ou modification de celles-ci. Les Parties libérées ne sont pas responsables des problèmes ou défaillances techniques de tout réseau téléphonique ou de toute ligne téléphonique, de tout système informatique en ligne, de tout serveur ou fournisseur, de tout équipement informatique, de tout logiciel, de la non-réception par le Commanditaire de tout courriel ou participation en raison de problèmes techniques, d’erreurs humaines ou de la congestion du trafic sur Internet ou sur tout Site Web, ou de toute combinaison de ces facteurs, incluant toute blessure ou tout dommage à l’ordinateur du Participant ou de toute autre personne lié à ou résultant de la participation à cette Promotion ou du téléchargement de tout matériel dans le cadre de cette Promotion. Les Participants acceptent en outre que, dans toute cause d’action, la responsabilité des Parties libérées sera limitée au coût de participation à la Promotion, et en aucun cas les Parties libérées ne seront tenues responsables des honoraires d’avocat. Les Participants renoncent au droit de réclamer quelque dommage-intérêt que ce soit, incluant, sans s’y limiter, les dommages-intérêts punitifs, consécutifs, directs ou indirects. Pour les résidents du New Jersey : rien dans les présentes ne fait obstacle au recouvrement de dommages-intérêts ou d’honoraires d’avocat lorsque la loi l’exige.

Sauf disposition expresse contraire ci-dessus, EN AUCUN CAS LES PARTIES LIBÉRÉES NE SERONT RESPONSABLES DE TOUT DOMMAGE OU PERTE DE QUELQUE NATURE QUE CE SOIT (INCLUANT SANS LIMITATION LES DOMMAGES DIRECTS, INDIRECTS, ACCESSOIRES, CONSÉCUTIFS OU PUNITIFS) DÉCOULANT DE LA PARTICIPATION À CETTE PROMOTION OU DE L’ACCEPTATION, LA POSSESSION, L’UTILISATION OU LE MAUVAIS USAGE D’UN PRIX, OU DE TOUT PRÉJUDICE RÉSULTANT DE L’ACCEPTATION, LA POSSESSION, L’UTILISATION OU LE MAUVAIS USAGE D’UN PRIX.

En participant, les Participants libèrent et acceptent d’exonérer les Parties libérées de toute responsabilité pour toute blessure, décès ou perte ou dommage matériel, AINSI QUE POUR LES RÉCLAMATIONS/ACTIONS FONDÉES SUR LES DROITS À LA PUBLICITÉ, LA DIFFAMATION ET/OU L’ATTEINTE À LA VIE PRIVÉE, pouvant découler de la participation à cette Promotion ou à ses activités connexes, ou de l’acceptation, la possession, l’utilisation ou le mauvais usage d’un Prix, ou de tout préjudice résultant de l’acceptation, la possession, l’utilisation ou le mauvais usage d’un Prix. Les Parties libérées ne sont pas responsables dans le cas où une partie de la Promotion est annulée en raison des conditions météorologiques, d’un incendie, d’une grève, d’actes de guerre ou de terrorisme, d’une pandémie, ou de toute autre condition échappant à leur contrôle.

CHAQUE PARTICIPANT COMPREND ET ACCEPTE QUE TOUS LES DROITS AUX TERMES DE L’ARTICLE 1542 DU CODE CIVIL DE CALIFORNIE ET DE TOUTE LOI SIMILAIRE DE TOUT ÉTAT OU TERRITOIRE DES ÉTATS-UNIS OU DU CANADA SONT EXPRESSÉMENT RENONCÉS PAR LUI/ELLE. L’ARTICLE 1542 SE LIT COMME SUIT :

« UNE DÉCHARGE GÉNÉRALE NE S’ÉTEND PAS AUX RÉCLAMATIONS QUE LE CRÉANCIER OU LA PARTIE ACCORDANT LA DÉCHARGE NE CONNAÎT PAS OU NE SOUPÇONNE PAS D’EXISTER EN SA FAVEUR AU MOMENT D’EXÉCUTER LA DÉCHARGE ET QUI, SI ELLES ÉTAIENT CONNUES DE LUI/ELLE, AURAIENT CONSIDÉRABLEMENT AFFECTÉ SON RÈGLEMENT AVEC LE DÉBITEUR OU LA PARTIE LIBÉRÉE. »

LITIGES : Toutes les questions et contestations concernant la rédaction, la validité, l’interprétation et le caractère exécutoire du présent Règlement officiel ou les droits et obligations des Participants, de l’Administrateur et du Commanditaire en lien avec la Promotion seront régis par et interprétés conformément aux lois de la province d’Ontario, sans tenir compte de tout choix de loi ou règle ou disposition relative aux conflits de lois qui entraînerait l’application des lois d’un autre État, d’une autre province ou d’une autre juridiction. En participant à la Promotion, le Participant accepte que : (i) tout litige, réclamation et cause d’action découlant de ou en lien avec la Promotion sera résolu individuellement sans recours à toute forme d’action collective ; (ii) toute procédure judiciaire aura lieu devant un tribunal de la province d’Ontario ; (iii) toutes les réclamations, jugements et attributions seront limités aux coûts réellement engagés, incluant les coûts liés à la participation à cette Promotion, mais en aucun cas les honoraires d’avocat ne seront accordés ou recouvrables ; (iv) en aucun cas le Participant ne sera autorisé à obtenir des attributions pour, et le Participant renonce par les présentes à tout droit de réclamer, des dommages-intérêts punitifs, accessoires, exemplaires, consécutifs, spéciaux, des profits perdus, d’autres dommages-intérêts et/ou tout droit de faire multiplier ou autrement augmenter les dommages-intérêts ; et (v) les recours du Participant sont limités à une réclamation en dommages-intérêts pécuniaires (le cas échéant) et il/elle renonce à tout droit de demander une injonction ou un redressement en équité.

DIVISIBILITÉ : La nullité ou le caractère inexécutoire de toute disposition du présent Règlement officiel n’affectera pas la validité ou le caractère exécutoire de toute autre disposition. Si une disposition du Règlement officiel est jugée invalide ou autrement inexécutoire, les autres dispositions demeureront en vigueur et seront interprétées comme si la disposition invalide ou inexécutoire n’était pas contenue dans les présentes.

DIVERS : Le présent Règlement officiel contient l’intégralité de l’accord et de la compréhension entre les parties en ce qui concerne la Promotion et remplace tous les accords, déclarations et ententes antérieurs et contemporains, qu’ils soient oraux ou écrits. Les titres des présentes sont fournis à titre indicatif uniquement, ne font pas partie du présent Règlement officiel et ne doivent pas être réputés limiter ou affecter l’une quelconque de ses dispositions. Aucun amendement à, ni aucune renonciation à, toute disposition du présent Règlement officiel ne sera effectif à moins d’être fait par écrit et signé à la fois par le Commanditaire et l’Administrateur. La renonciation par le Commanditaire ou l’Administrateur à toute disposition du présent Règlement officiel ne constitue pas une renonciation à toute autre disposition des présentes. Les droits et obligations aux termes des présentes ne peuvent être cédés par les Participants, que ce soit en vertu de la loi ou autrement, sans le consentement écrit préalable du Commanditaire, et toute tentative de cession en violation des présentes sera nulle et sans effet. Le présent Règlement officiel liera et bénéficiera aux successeurs et ayants droit autorisés du Commanditaire, de l’Administrateur et du Participant.
