KI WALL SOCIAL MEDIA GIVEAWAY AGREEMENT

This KI Wall Social Media Giveaway Agreement (this “Agreement”) is between KI Wall, located at 1330 Bellevue Street, Green Bay, Wisconsin 54302 and any individual (each a “Participant”) who enters, attempts to enter or in any way participates or attempts to participate in the Social Media Giveaway described herein (the “Giveaway”). Each Participant agrees to be bound by the terms and conditions described in this Agreement, as well as by KI Wall’s interpretations of these terms and conditions and decisions (which decisions are final and binding in all matters relating to the Giveaway).  By submitting an entry (each an “Entry”) to participate in the Giveaway, the Participant agrees to be bound by the terms and conditions stated herein. 

This giveaway is not affiliated with Meta, Apple, or any other external parties.

No Purchase Necessary

No purchase is necessary to enter the Giveaway or to win a prize.  A purchase will also not improve a Participant’s chances of winning the Giveaway.

Eligibility

Except as described herein, the Giveaway is open to legal residents of the United States who are at least eighteen (18) years of age or older at the time of entry and are, at the time of entry, employed or engaged as an interior designer, industrial designer, architect, or other similar occupational capacity working in design, architecture, or related fields. Persons who enter the Giveaway must have a publicly visible profile on Instagram and/or Facebook. The following persons are not eligible to participate in the Giveaway: officers, directors, employees, contractors, and agents of KI Wall and its affiliates, divisions, subsidiaries and successor companies, and their immediate family members (and those living in the same household, whether or not related).

How to Enter

The Giveaway begins at 12:01 AM (CST) on May 1, 2025 and ends at 11:59 PM (CST) on June 13, 2025 (the “Entry Period”).

To enter the Giveaway, Participants must “like” KI Wall's Giveaway post on Instagram, and tag three (3) other users within the comments of the Giveaway post. Optionally, to receive additional Entries, Participants may follow KI Wall on Facebook, Instagram, LinkedIn, Pinterest and/or YouTube, and visit out website (1 Entry each). Participants can complete these actions for up to six (6) additional entries. Maximum limit of seven (7) Entries per Participant. Participants who submit more than seven (7) Entries will be disqualified from participation in the Giveaway.

In addition, for every Participant who submits an Entry (not including optional additional Entries), KI Wall will donate $5.00 (USD) to 501c(3) non-profit organization, the Environmental Defense Fund (EDF). Maximum donation amount for the Giveaway is capped at $5,000.00 (USD).

Selection of Winners

In its sole and absolute discretion, KI Wall will use the web platform ViralSweep to randomly select from those submitted in accordance with this Agreement, select one (1) Giveaway prize recipient, and one (1) runner-up.  KI Wall will then publicly announce the prize recipient on social media channels Instagram and Facebook. In the event that the selected prize recipient does not contact KI Wall to claim the prize within three (3) days of the recipient announcement post, KI Wall will contact the selected runner up to receive the prize in place of the original prize recipient.

In order to be selected, Particpants must have a publicly visible profile on Instagram. Winners will be required to disclose their email and a valid U.S. shipping address to KI Wall in order to receive the Giveaway prize. Address information will remain confidential, and will not be used by KI Wall in any instance except for the shipping of the Giveaway prize. By providing KI Wall with your email, you are agreeing to receive communication from KI Wall, which may include marketing emails, promotions, and additional communication. Marketing emails can be opted out of at any time, and are not required to be opted into to receive the Prize.

Description of Prizes

The winner of the Giveaway will receive an Apple iPad Pro and Apple Pencil.

Winners may not substitute or transfer prizes to any person or entity other than the designated Participant. Prizes are not redeemable for cash.

Upon completion of the Giveaway, a donation up to but not exceeding $5,000.00 (USD) will be made by KI Wall to the disclosed 501c(3) organization; Environmental Defense Fund (EDF). The final amount will be determined by the number of Participants; for each one (1) Participant who enters, a $5.00 (USD) donation will be made by KI Wall.

Notification of Winners

A winner will be selected on June 16th, 2025. The winner of the Giveaway will be notified by Direct Message on Instagram and/or Facebook, along with publication on KI Wall’s website and Instagram and Facebook accounts on June 16th, 2025. If the winner does not respond to the Direct Message within three (3) days of its transmission, should the Direct Message be undeliverable after three (3) attempts, or should the winner otherwise fail to indicate their intent to claim the prize, his or her corresponding prize will be deemed forfeited and a randomly selected alternate winner will receive the prize.

Violation of Giveaway Rules

KI Wall reserves the right to disqualify any Participant or winner who, in its sole suspicion, tampers with the entry process, intentionally submits more than a single Entry, violates these rules or any other applicable law, or acts in an unsportsmanlike or disruptive manner.

Limitation of Liability

KI Wall and the employees, officers, directors, shareholders, agents, and representatives of KI Wall, and its affiliates, subsidiaries, and advertising, promotion and legal advisors are not responsible for and shall not be liable for:  (a) late, lost, delayed, damaged, misdirected, incomplete, illegible, or unintelligible entries; (b) telephone, electronic, hardware, or software program, network, Internet, or computer malfunctions, failures, or difficulties; (c) errors in transmission; (d) any condition caused by events beyond the control of KI Wall that may cause the Giveaway to be disrupted or corrupted; (e) any injuries, losses, or damages of any kind caused by a prize or resulting from acceptance, possession, or use of a prize, or from participation in the Giveaway; or (f) any printing or typographical errors in any materials associated with the Giveaway.

By entering this Giveaway, Participants represent and warrant that his or her name is subject to publication on social media platforms and KI Wall’s website, and may be viewed publicly. Should the Giveaway Prize arrive broken or damaged, get lost during the shipping process, or otherwise incur any damages, the Participant shall contact KI Wall immediately for assistance to resolve the issue, and further indemnify, defend, and hold harmless KI Wall. You shall indemnify, defend, and hold harmless KI Wall from and against any legal suit, proceeding, claims, liability, loss, damage, costs or expense, which KI Wall may incur, suffer, or be required to pay arising out of such damages to the item.

Publicity Release

Unless prohibited by applicable law, each Participant authorizes and irrevocably grants, without compensation, to KI Wall permission to, from time to time, reference and discuss Participant and his or her participation in the Giveaway in photographs, video recordings, digital images, audio recordings, as well as in newsletters, news releases, other printed materials, and in materials made available on the internet or in other media now known or hereafter developed for any purpose KI Wall deems proper.  Such reference and discussion may involve Participant’s name and other personal or biographical material. 

Applicable Law (void where prohibited)

The Giveaway is subject to and governed by applicable federal, state and local laws and regulations.  Participation in the Giveaway is void outside of the United States and where prohibited or otherwise restricted by law.
