NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN  

This Promotion is intended for viewing and participation in the United States only. Please do not enter if you are not a legal resident of, and not located in, the U.S. at the time of entry. Void outside of the U.S. and where prohibited by law.

SPONSOR: GOOD Meat at China Chilcano Sweepstakes (“Promotion”) is sponsored by GOOD Meat, located at 300 Wind River Way, Alameda, CA  94501 (“Sponsor”). Promotion is void where prohibited or restricted by law. By entering or attempting to enter this Sweepstakes, participants agree to abide by all terms of these Official Rules, applicable social media terms and to be bound by the decisions of the Sponsor. Failure to comply with these rules may result in disqualification. This Promotion is in no way sponsored, endorsed, or administered by Think Food Group, LLC dba the José Andrés Group or 418 7th St., LLC.

ENTRY PERIOD: Entries will be accepted online starting on or about July 26, 2023, at 10:00 AM and ending Aug 10, 2023, at 04:00 PM. All online entries must be received by Aug 10, 2023, at 04:00 PM. All times are (GMT-08:00) Pacific Time (US & Canada). (the “Entry Period”). The Sponsor’s computer system is the official timekeeping device with respect to all matters relating to the Promotion. 

ELIGIBILITY: The Promotion is open to legal U.S. residents residing and physically located in any of the 50 United States or the District of Columbia and who are at least 18+ years old at the time of entry. Employees, officers, directors, agents, or other representatives of Sponsor or of any of its parent companies, subsidiaries, affiliates, sales representatives, retailers, advertising and promotion agencies, and any others engaged in the development, production, execution, or distribution of this Promotion (“Promotion Entities”), and all members of their immediate families and persons living in the same household with them, whether or not related, are not eligible to participate in the Promotion. Immediate family members include spouse, parent, child, and sibling, including stepparents, children, siblings, half-siblings, and all their respective spouses, regardless of where they reside. No purchase is necessary to enter or win the Prize. A purchase will also not improve your chances of winning. 

HOW TO ENTER/CREATE AN ENTRY: Each Entrant is entitled to one entry by submitting an entry using the online form provided on goodmeat.co/sweeps. Additional entries may be earned (limit 12 maximum entries per person) by using the ViralSweep platform to track your completion of the activities identified below:

• Referring friends via the accepted communication channels in the Promotion entry form;
• Write at least 50 words to answer the prompt of “Why are you excited to try  GOOD Meat’s cultivated chicken?” (Your response is for internal market understanding only and will not be used to endorse GOOD Meat or our product). 

FOR ALL ENTRIES THAT REQUIRE A WRITTEN ANSWER. You may be asked to answer a prompt for a chance to win (“Submission”). Submissions will not be judged but must adhere to these rules.

• Submissions must be original works of authorship created by the person who enters the Submission.
• Submissions must not violate the rights of any third parties, including intellectual property rights, rights of privacy, or any other rights held by third parties.
• Please do not use the Submission to launch personal attacks on anyone. 
• Submission may not include offensive or obscene subject matter as determined in Sponsor’s sole discretion.
• Sponsor reserves the right to exclude any Submission that it believes, in its sole discretion, doesn’t meet this criteria and to delete any such Submission from any and all location(s) under Sponsor’s control. 

SPECIFICATIONS REGARDING ENTRIES:  By participating in this Promotion, Entrant certifies that Entrant understands that Entrant and not Sponsor or any Promotion Entity is solely responsible for the content of the Entry, that Entrant’s Entry is original, nothing in it has been previously published or won any other promotion, and that the Entry does not contain any material that would violate or infringe on the rights of any third party, including copyrights, trademarks, or rights of privacy/publicity, and in particular, Entrant represents that Entrant has the consent of any other person appearing in their Entry photo to Entrant’s submission of the photo in connection with the Promotion and to Sponsor’s use of the Entry photo in accordance with these Official Rules.  Sponsor reserves the right in its sole and unfettered discretion to disqualify any Entry that it believes contains obscene, offensive, or inappropriate content, that does not comply with these Official Rules, or that is not consistent with the spirit or theme of the Promotion. The decision of the Sponsor is final and binding on all matters relating to the Promotion.   

PUBLICITY RELEASE:  Except where prohibited by law, by claiming a Prize in this Promotion, Winner grants permission for the Sponsor and Promotion Entities to use their Entry, name, likeness, biographical information, and any Prize awarded, in connection with the Promotion, including announcements on Sponsor’s and Promotion Entities’ social media and web pages, as well as for future advertising and publicity in any and all media now existing or hereafter devised throughout the world in perpetuity, without additional compensation, notification or permission.

USE OF PERSONAL INFORMATION:  By participating in the Promotion, Entrant agrees that they are providing their information to Sponsor and Promotion Entities, not Instagram, and to use of Entrant’s personal information by Sponsor and Promotion Entities for both online and offline direct marketing purposes, as well as for administration of the Promotion including, without limitation, verifying Entrant’s eligibility, contacting Entrant regarding Entrant’s Entry, awarding the Prize, avoidance of fraud/tampering, compliance with legal obligations, and analytics and improvement of offerings.  For additional information about how the Sponsor uses the Entrant’s data and to opt-out of communications from the Sponsor, visit Sponsor’s Privacy Policy at https://www.goodmeat.co/privacy. 

WINNER SELECTION & NOTIFICATION: On or about August 14, 2023, one (1) potential prize winner (“Potential Winner”) will be selected in a random drawing. Potential Winner will be notified via e-mail to the e-mail address they entered the Sweepstakes with within five (5) days following the winner selection. Sponsor shall have no liability for a Potential Winner's failure to receive notices due to Potential winners' spam, junk e-mail, or other security settings or for Potential Winners' provision of incorrect or otherwise non-functioning contact information. Each Potential Winner must respond to the winner notification message and fulfill any additional requirements contained in the winner notification message, including signing and returning an Affidavit of Eligibility and Liability and Publicity Release (“Release”) to Sponsor within five (5) days of receipt. Upon satisfaction of these requirements, the Potential Winner will be declared the Winner.  In the event that Sponsor is unable to contact a Potential Winner within five (5) days of its first attempt, or a Potential Winner does not comply with all requirements in the winner notification message within the timeframe stated, Sponsor will disqualify that Potential Winner and award the Prize to another eligible Entrant (a “Replacement Potential Winner”) selected at random from among all remaining timely submitted, eligible Entries received.  The Replacement Potential Winner must comply with all the requirements of this paragraph and the winner notification message in the same timeframes as if they had been selected as the disqualified Potential Winner or be disqualified in the manner set forth in this paragraph, in which case additional Replacement Potential Winner(s) will be selected in the same manner as set forth in this paragraph, until the Prize is awarded.  Odds of winning depend on the number of eligible Entries received. 

PRIZE:  One (1) grand prize consisting of 2 seats to a GOOD Meat dinner at China Chilcano ($70 tasting menu covered only; drinks and additional menu items must be purchased independently), two (2) nights lodging accommodation (one standard room, double occupancy) at a local hotel selected by Sponsor and a travel stipend of up to $1,600 for actual travel expenses for trains, buses, or flights for the Winner and their guest will be awarded (the “Prize”). Travel will be arranged by Sponsor and is subject to the restrictions set forth below. Winner and their guest must travel on the same itinerary.  The approximate retail value of all prizes is $2,440.00 USD. Actual/appraised value may differ at the time of prize award. Prize may not be exchanged or redeemed for cash, sold, or traded. No Prize transfer, assignment, or substitution by Winner is permitted.  Sponsor reserves the right to substitute a prize, in which case a prize of equal or greater value will be awarded. Winner will be solely responsible for any and all local, state, and federal taxes, as well as any license and registration or other fees incurred by participation in the Promotion, including but not limited to transportation costs, gratuities, and other items of an incidental nature.  The value of the Prize may be taxable as income, and the Winner is solely responsible for any taxes relating to the Prize received, including, but not limited to, all applicable federal, state, and local taxes if applicable. The Winner will be required to provide their valid social security number to Sponsor for tax reporting purposes. Sponsor will report any individual winnings over $600 (in cash or fair market value of goods or services) in a one-year period to the Internal Revenue Service. Winner(s) will receive a Form 1099 from Sponsor if Sponsor reports any winnings to the Internal Revenue Service. 

Winner must redeem the Prize pursuant to the following specific dates, or the Prize may be forfeited in its entirety:

• Dinner at China Chilcano: September 12, 2023 (time of reservation to be confirmed with Winner) 
• Hotel Accommodation: Available for two consecutive evenings with Winner checking in on September 11, 2023, or at their election, September 12, 2023, and checking out on September 13, 2023. If the Winner cannot check in until September 12th, the Winner forfeits the second hotel night and is not entitled to extend their stay for an additional evening beyond the September 13th check-out date. 

Winner is responsible for ensuring they are available to travel as necessary to fulfill the specific Prize redemption dates above.

Winner is solely responsible for obtaining and traveling with photo identification and any other documentation required for travel and for assuming all costs arising from travel and redemption of the Prize,  including but not limited to ground transfers, luggage fees, flight delays or cancellations, parking, gratuities, hotel incidentals, and all other expenses not expressly set forth in the Prize description.  The Released Parties are not liable for any expenses incurred by Winner in connection with the Prize that are not expressly accounted for as the responsibility of Sponsor in the Prize description. There shall be no compensation or Prize substitution if for any reason Winner is unable to take the trip pursuant to the itinerary set forth above.  Sponsor may reschedule the entire trip with sufficient lead time to reschedule trip elements, as determined by Sponsor in its sole discretion. 

ENTRANT IDENTITY:  In the event of a dispute regarding the identity of the individual entering the Promotion or of the Winner of any Prize, the authorized account holder of the email account used to participate in the Promotion will be deemed to be the Entrant and must comply with these Official Rules.  Authorized account holder means the natural person who is assigned to the account by the social media platform provider.  Any questions regarding the authorized account holder of a social media account shall be determined by Sponsor in its sole discretion. 

 DISQUALIFICATION: Sponsor reserves the right in its sole discretion to permanently disqualify from this Promotion any person it believes has violated these Official Rules, is not eligible to participate, who has provided false information, has or intends to act in a harassing or unsportsmanlike manner with respect to Sponsor, any Promotion Entity, or any Entrant, or tampered with the operation of the Promotion, including by hacking, attempting to participate via multiple accounts, using any bot or other automatic means to affect participation in or operation of the Promotion, or to otherwise undermine the legitimate operation of the Promotion.  Sponsor’s decisions as to all issues, including eligibility/disqualification, shall be final. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROMOTION MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY FEES) TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. 

 RELEASE OF LIABILITY. As a condition of entering the Promotion, all Participants agree to RELEASE, DISCHARGE, AND COVENANT NOT TO SUE Eat Just, Inc., GOOD Meat, Inc., Think Food Group, LLC dba the José Andrés Group and 418 7th St., LLC, and each of their respective direct and indirect affiliates, divisions, parent and subsidiary companies, officers, employees, shareholders, representatives, managers, members, directors, owners, agents, insurers, attorneys, predecessors, successors, and assigns thereof (collectively, the “Released Parties”), from and against all claims, damages, charges, injuries, losses, proceedings, suits, actions (including but not limited to tort actions, product liability actions, wrongful death actions, warranty actions, breach of contract actions, privacy and defamation actions, misappropriation of likeness actions, identity theft, loss of consortium claims), expenses and attorney fees that they or anyone on their behalf (including but not limited to their heirs, representatives or next of kin) have or might have for any death, injury, damage or claimed injury or damage arising out of, involving or relating to their participation in the Promotion, including, but not limited to, any claim that the act or omission complained of was caused in whole or in part by the strict liability or negligence in any form of the Released Parties. 

Furthermore, the Participant expressly waives and relinquishes all rights and benefits afforded by Section 1542 of the Civil Code of the State of California and does so, understanding and acknowledging the significance and consequence of such specific waiver of Section 1542.  Section 1542 of the Civil Code of the State of California states: 

“A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” 

Thus, notwithstanding the provisions of Section 1542, and for the purpose of implementing a full and complete release and discharge of the Released Parties, Participant expressly acknowledges that this release is intended to include, in its effect, without limitation, all claims which Participant does not know or suspect to exist in Participant’s favor at the time of execution hereof and that this release contemplates the extinguishment of any such claim or claims.  Participant acknowledges and agrees that this general release is specifically intended to be as broad and comprehensive as permitted by California law. 

LIMITATIONS OF LIABILITY: This Promotion is void where prohibited or restricted by law, and is subject to all applicable federal, state, and local laws and regulations and Sponsor’s Privacy Policy.  Sponsor is not responsible for any liability arising out of Entrant’s participation in the Promotion, including without limitation, for any problems related to technical malfunctions of electronic equipment, computer online systems, servers, providers, computer hardware or software failures, phone lines, traffic, congestion on the internet or any website, unauthorized intervention, or for any other technical problems including telecommunication miscommunication or failure, and failed, lost, delayed, incomplete, garbled, or misdirected communications which may limit a person’s ability to participate in the Promotion.  Sponsor is not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human, or otherwise, relating to or in connection with the Promotion, including, without limitation, errors or malfunctions which may occur in connection with the administration of the Promotion, the announcement of Winner(s), or in any Promotion-related materials.  If, for any reason, this Promotion is not able to be conducted as planned, including, but not limited to, by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, or based on the technical, legal, and policy requirements of the platform(s) by which it is made available, or any other causes which corrupt or affect the administration, security, fairness, integrity or proper conduct of the Promotion, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Promotion, including awarding any Prize from among the Entries received up until the time of cancellation/suspension or modification that the Sponsor in its sole discretion determines are eligible and uncorrupted.

NO ASSOCIATION WITH META, TWITTER, LINKEDIN, OR GOOGLE AND RELEASE OF LIABILITY: This promotion is in no way sponsored, endorsed, administered by, or associated with Meta, Twitter, LinkedIn, or Google. You understand that you are providing your information to the owner of this sweepstakes and not to Meta, Twitter, LinkedIn, or Google. By participating, Entrant agrees to release, discharge, indemnify and hold harmless the Sponsor, Promotion Entities, Meta, Twitter, LinkedIn, or Google, and each of their respective officers, directors, employees, representatives, and agents from and against any claims related in any way to or arising out of the operation of this Promotion or Entrant’s participation in it, as well as any claims, damages or liability due to any injuries, damages or losses to any person (including death) or to property of any kind resulting in whole or in part, directly or indirectly, from acceptance, possession, misuse or use of any Prize or participation in any Promotion-related activity or participation in this Promotion.  SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. 

DISPUTES; GOVERNING LAW: By entering this Promotion, Entrant agrees that all matters arising out of or relating to this sweepstakes and these Official Rules are governed by, and construed in accordance with, the laws of California, without giving effect to any of its conflict of laws provisions thereof. Entrant further agrees that any legal suit, action, or proceeding arising out of or relating to this sweepstakes and these Official Rules shall be brought exclusively in the applicable federal or state courts located in San Francisco, California. ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE PROMOTION OR ANYTHING AWARDED IN CONNECTION WITH THE PROMOTION WILL BE RESOLVED INDIVIDUALLY WITHOUT RESORT TO ANY FORM OF CLASS ACTION. ANY RIGHT TO A TRIAL BY JURY IS HEREBY WAIVED.
