The NOVA(Verse)™ X GCE Flourish Giveaway Official Rules

NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN. A PURCHASE WILL NOT INCREASE YOUR CHANCES OF WINNING. OPTIONAL BONUS ENTRIES ARE AVAILABLE ONLY FOR THE NON-PURCHASE SOCIAL ACTIONS DESCRIBED IN SECTION 4.3.

ODDS OF WINNING DEPEND ON THE TOTAL NUMBER OF ELIGIBLE ENTRIES RECEIVED DURING THE PROMOTION PERIOD. EVERY INDIVIDUAL ENTRY, WHETHER A PRIMARY ENTRY, A BONUS ENTRY, OR AN ALTERNATE-METHOD ENTRY, CARRIES EQUAL WEIGHT IN THE RANDOM
DRAWING.

BY ENTERING THIS GIVEAWAY, YOU AGREE TO THESE OFFICIAL RULES, WHICH FORM A LEGALLY BINDING AGREEMENT. PLEASE READ THEM CAREFULLY BEFORE ENTERING. VOID WHERE
PROHIBITED.

1. Co-Sponsors,
Influencer, and Administrator

1.1 Co-Sponsors

TheNOVA(Verse)™ X GCE Flourish Giveaway (the "Giveaway" or "Promotion") is co-sponsored by:

• Nova Element Corp d/b/a NOVA, Flourish by NOVA and The NOVA(Verse), 2870 Peachtree Rd. #886, Atlanta, GA 30305 ("NOVA"); and

• GCE INC, 9457 S. University Blvd. #159, Highlands Ranch, CO 80126  ("GCE").

NOVA and GCE are referred to together as the "Co-Sponsors" and each
individually as a "Co-Sponsor."

1.2 Participating
Influencer

Jenna Leveille, Highlands Ranch, CO, participates in the Promotion as GCE's participating influencer and promotional representative (the "Influencer"). The Influencer is not a Co-Sponsor of the Giveaway. The Influencer has no independent authority to change these Official Rules, to accept or reject entries, to select or confirm winners, or to bind either Co-Sponsor. Statements made by the Influencer that conflict with these Official Rules do not modify these Official Rules, and these Official Rules control.

1.3 Administrator

The Giveaway is administered through the ViralSweep platform, operated by AppHub
LLC ("Administrator"). The Administrator's role is limited to providing the platform through which entries are collected and managed. The Administrator does not sponsor or endorse the Giveaway or any prize.

1.4 Allocation of
Co-Sponsor Responsibilities

For clarity, the Co-Sponsors have allocated operational responsibility for the Giveaway as follows:

· NOVA:
Preparation and maintenance of these Official Rules; oversight of the entry platform and Administrator; substantiation of product claims; supervision of the random drawing; privacy administration; creation and administration of winner accounts; issuance, administration and delivery of the Flourish promotional credits; fulfillment of the Flourish products, digital materials,
journal, tote, and flower seed pack and delivery of the $100 Visa gift card
included in the Grand Prize. Promotion of the Giveaway through channels it owns
or controls; required promotional disclosures on those channels; reasonable
training and monitoring of personnel it directs, including the Influencer;
prompt correction or removal of noncompliant promotional content.

· GCE:
Promotion of the Giveaway through channels it owns or controls; required
promotional disclosures on those channels; reasonable training and monitoring
of personnel it directs, including the Influencer; prompt correction or removal
of noncompliant promotional content.

This internal division of responsibilities is provided for
transparency only. It does not limit, waive, or reallocate any obligation that
either Co-Sponsor owes to entrants or regulators, and it does not reduce either
Co-Sponsor’s responsibility for the Giveaway. As between the Co-Sponsors, each
Co-Sponsor is responsible for properly performing the duties allocated to it
under this Section.

1.5 Independent Parties

The Co-Sponsors, the Administrator, and the Influencer are independent parties.
Nothing in these Official Rules creates a partnership, joint venture, employment, or agency relationship among them beyond the co-sponsorship of this Giveaway described above, and no party has authority to bind another party to any obligation except as expressly stated in these Official Rules or in a separate written agreement between them.

2. Eligibility

The Giveaway is open only to legal residents of the fifty (50) United States and
the District of Columbia who are eighteen (18) years of age or older at the
time of entry. Void where prohibited. The Giveaway is subject to all applicable
federal, state, and local laws and regulations.

The following persons are not eligible to enter or win:

• Officers, directors,
  employees, agents, representatives, contractors, and affiliates of either
  Co-Sponsor or of the Administrator, and their respective advertising and
  promotion agencies and fulfillment partners;
• Jenna Leveille,
  individually;
• Immediate family members
  (spouse, parent, child, sibling, and their respective spouses) of any of the
  foregoing, regardless of where they reside; and
• Persons living in the
  same household as any of the foregoing, whether or not related.

• 3. Promotion Period

  The Giveaway begins on August 26, 2026, at 12:00 AM Eastern Time and ends on September 9 at 11:59 PM Eastern Time (the "Promotion Period"). Entries submitted before or after the Promotion Period will not be eligible. 

  4. How to Enter

  4.1 Primary Method of
  Entry (Free — No Purchase Necessary)

  To receive one (1) primary entry, complete all of the following free steps during
  the Promotion Period:

  1. Download The NOVA(Verse)
     App for free onto your compatible mobile device.
  2. Enter the Giveaway for free through the Giveaway entry page inside the App (powered by ViralSweep) by completing and submitting the required entry form.
  3. Follow all three of the
     following Instagram accounts: @flourishbynova, @thenovaelement, and
     @gettingclosereveryday_

• Downloading the App, entering the Giveaway, and following the Instagram accounts are all free. No purchase or payment of any kind is required to enter or win. Completion of all of the steps above yields one (1) primary entry. Optional bonus entries are described in Section 4.3.

  4.2 Alternative Method of
  Entry (AMOE) — No App Download or Follow Required

  If you prefer not to download the App or follow the Instagram accounts, you may
  enter by sending an email to info@thenovaelement.com with the subject line "Flourish Giveaway Entry" and including: (a) your full legal name;
  (b) your email address; (c) your mailing address (city, state, ZIP); and (d)
  your date of birth.

  AMOE entrants are not required to download The NOVA(Verse) App or to follow any
  Instagram account. AMOE entries must be received during the Promotion Period,
  carry the same weight as all other entries, and will be placed by NOVA into the
  same randomized drawing pool used for all other entries within two (2) business
  days of receipt with
  the exception of entries received on the final day of the Promotion Period.

  Because the optional bonus entries described in Section 4.3 require actions completed and verified through the ViralSweep platform, AMOE entrants are not eligible for those platform-based bonus entries. Each AMOE entrant receives one (1) entry, and that entry carries exactly the same weight and the same individual odds in the random drawing as any other single entry.

  4.3 Bonus Entries (Optional — Not Required to
  Win)

  After submitting your primary entry, you may optionally earn additional entries by completing one or more of the following actions through the ViralSweep entry page. These are not required to enter or win the Giveaway.

  Equal Dignity Notice:
  Bonus entries earned do not provide any greater chance of winning per entry than initial entries earned. Every entry — whether through the primary giveaway, or earned through social actions — carries equal weight in the random drawing.

  4.3 Bonus Entries
  (Optional — No Purchase Required)

  Share bonus. To earn the share bonus, share the official Instagram giveaway post
  through the sharing option provided on the ViralSweep entry page. Where the
  sharing format permits accompanying text, your share must include a clear
  disclosure that it relates to a promotion, such as "#Sweepstakes" or
  "#Giveaway." You are not required to express any opinion about the
  Co-Sponsors or their products, and you are not required to provide praise,
  positive sentiment, a review, a testimonial, or any product claim in order to
  earn this bonus.

  Bonus entry conditions. Each bonus action may be completed once per entrant, for a
  maximum of one award of the stated bonus entries per action per entrant. Bonus
  actions are verified through the ViralSweep widget and/or reasonable, objective
  verification by the Co-Sponsors as described in Section 4.5. Bonus entries are
  awarded only after a bonus action is verified. Every bonus entry carries the
  same weight in the random drawing as every other entry.

  4.4 Entry Limits and
  Restrictions

  • Limit one (1) primary entry per person during the Promotion Period, whether submitted through the App or by AMOE.
  • Bonus entries are limited to one (1) completion of each bonus action per entrant, at the entry values stated in Section 4.3. No other additional entries are available, and no additional entries may be earned through any purchase.
  • All entries must be submitted by the entrant personally. Entries submitted by any other individual or entity, or generated by automated means (bots, scripts, macros, or similar), will be disqualified.
  • Incomplete, illegible, duplicate, or fraudulent entries are void.
  • The authorized account holder of the email address used to enter will be deemed the entrant.

• 4.5 Verification of Entry
  and Bonus Actions

  Verification that the required TikTok &/or Instagram follow steps and any optional bonus actions were completed may be handled through the ViralSweep entry widget and/or through reasonable verification by the Co-Sponsors. The Co-Sponsors do not request, receive, or have access to your social media login credentials or to private information in your social media profile. Entries or bonus entries for which the required actions are fraudulent, cannot be verified, or appear to have been completed through prohibited means may be voided or disqualified based on objective, documented criteria applied consistently to all entrants. Your activity on third-party social media platforms is governed by those platforms' own terms of service and privacy policies.

  5. Prizes

  5.1 Grand Prize

  One (1) Grand Prize will be awarded,
  consisting of:

  a)     Three-month supply of Flourish, ARV
  $195.00;

  b)     Journal, ARV $30.00;

  c)     Tote, ARV $25.00;

  d)     Digital recipe book download, ARV
  $15.00;

  e)     Digital metabolism guide download,
  ARV $25.00;

  $10.00;

  g)     Flower seed pack, ARV $5.00;

  h)     One $100 Visa® gift card, ARV
  $100.00; and

  i)      One $5.00 Flourish promotional store
  credit, ARV $5.00.

  Total ARV of the Grand Prize:
  $410.00.

  5.2
  Runner-Up Prizes

  Two (2) Runner-Up Prizes will be
  awarded. Each Runner-Up Prize consists of:

  a)     Two-month supply of Flourish, ARV
  $130.00;

  b)     Tote, ARV $25.00;

  c)     Digital workbook download, ARV
  $10.00; and

  d)     One $5.00 Flourish promotional store
  credit, ARV $5.00.

  Total ARV of each Runner-Up Prize:
  $170.00.

  5.3
  Total Prize Value

  The total ARV of all prizes offered
  in this Giveaway is $750.00, consisting of one Grand Prize with an ARV
  of $410.00 and two Runner-Up Prizes with an ARV of $170.00 each.

  5.4
  Visa Gift Card Terms

  The $100 Visa® gift card included in
  the Grand Prize is subject to all terms, conditions, limitations, expiration
  provisions, and restrictions imposed by the issuing financial institution. NOVA
  will be responsible for purchasing, activating, and delivering the Visa® gift
  card. Any purchase or activation fee will be paid separately by NOVA and will
  not reduce the $100 balance available to the Grand Prize winner.

  The Visa® gift card may not be
  redeemable for cash, may not be used for certain transactions, and may not be
  accepted by every merchant. Use of the card is subject to the issuer’s
  cardholder agreement. Except as required by the issuer or applicable law, the
  Released Parties are not responsible for replacing a card that is lost, stolen,
  destroyed, used without authorization, or delivered to an incorrect address
  supplied by the winner.

  Visa® is not a sponsor of,
  affiliated with, or responsible for the administration of this Giveaway and has
  not endorsed the Giveaway or the Co-Sponsors.

  5.5
  Flourish Promotional Store Credit

  Each winner will receive one $5.00 promotional store credit that may be applied toward an eligible one-time or subscription purchase of Flourish through the Flourish website. The promotional
  credit will be issued and administered through the winner’s Flourish customer
  account and NOVA’s subscription-management service provider, Recharge.

  Promotional credits subject fully to Flourish's Credit Policy, accessible via https://flourishbynova.com/pages/terms-and-conditions. 

  For clarity, the promotional credit is subject to the following conditions:

  a)     The credit is issued to the winner without payment or other consideration as part of a promotional prize.

  b) The credit may be used only toward the purchase of eligible Flourish products through the Flourish website.

  c) The credit must be used in totality on one (1) Flourish purchase. The credit may not be split into multiple purchases.

  d) The credit may be applied to an eligible one-time purchase or to an eligible purchase made as part of a Flourish subscription.

  e)     If the credit is used for a
  subscription purchase, it is only applicable to the first purchase and does not
  apply to any recurring purchases.

  f)      The credit does not automatically enroll the winner in a subscription.

  g)     A winner who chooses to apply the credit to a subscription must separately and affirmatively select the subscription option, agree to the subscription terms presented at checkout, provide any required payment information, and authorize the recurring charges disclosed at checkout.

  h)     Unless canceled in accordance with the applicable subscription terms, recurring subscription charges may continue
  after the promotional credit has been exhausted or expired.

  i)      The credit may not be applied
  retroactively to a completed purchase.

  j)      The credit may not be used to
  purchase gift cards or additional promotional credits, if applicable.

  k)     The credit is not transferable, may
  not be assigned or resold, and is not redeemable for cash or cash equivalents,
  except where required by applicable law.

  l)      The credit expires one hundred and twenty
  (120) days after issuance, except where prohibited or otherwise limited by
  applicable law.

  m)    The issuance email and applicable
  account display will conspicuously state: “PROMOTIONAL CREDIT EXPIRES 120
  DAYS AFTER ISSUANCE.”

  n)     No dormancy, inactivity,
  maintenance, or service fee will be deducted from the promotional credit.

  o)     The winner is responsible for any
  purchase amount, shipping charges, taxes, or other charges exceeding the
  available promotional credit balance.

  p)     The promotional credit may be
  subject to reasonable technical and redemption requirements imposed by the
  Flourish website or Recharge, provided those requirements do not materially
  reduce its stated value.

  To issue and redeem the promotional
  credit, NOVA will create or associate a Flourish customer account using the
  winner’s verified name, email address, and mailing address. The winner may be
  required to activate the account, establish a password, or complete another
  reasonable account-verification step before using the credit.

  A winner who does not wish to have a
  Flourish customer account created may decline the promotional credit and
  receive the remaining components of the applicable prize. Declining or failing
  to activate the account will result in forfeiture of the promotional credit
  only and will not entitle the winner to cash, a replacement credit, an
  additional product, or any other substitute.

  NOVA is responsible for creating the
  winner account, issuing the promotional credit, maintaining reasonable records
  of issuance and redemption, and providing reasonable assistance with
  credit-related technical issues. Recharge is a service provider only and is not
  a sponsor of, affiliated with, or responsible for administering the Giveaway.

  5.6
  General Prize Conditions

  a)     Limit one (1) prize per person and
  per household.

  b)     Physical prize components will be
  shipped to the winner’s verified valid U.S. mailing address at no cost to the
  winner. Digital prize components and promotional-credit information will be
  delivered electronically to the winner’s verified email address.

  c)     Except for the Visa® gift card and
  Flourish promotional credit expressly included as prize components, no cash
  equivalent or alternative prize will be provided.

  d)     Prizes and prize components are not
  transferable and may not be assigned, sold, or transferred before or after they
  are awarded, except where required by applicable law.

  e)     If an advertised prize component
  becomes unavailable for any reason, the Co-Sponsor responsible for that
  component reserves the right to substitute a prize component of equal or
  greater value, subject to applicable law.

  f)      Each prize consists solely of the
  components described in these Official Rules. All costs and expenses associated
  with prize acceptance and use that are not expressly stated as included are the
  winner’s sole responsibility.

  g)     The Released Parties are not
  responsible for any restriction, suspension, cancellation, closure, or other
  limitation imposed on a winner’s Visa® gift card, Flourish customer account, or
  Recharge account because of the winner’s misuse, violation of applicable terms,
  fraudulent activity, chargeback, unauthorized access, or failure to provide
  accurate information.

  5.7
  Taxes

  Each winner is solely responsible
  for all federal, state, and local taxes, if any, applicable to the prize
  received. The taxable value of a prize may include the stated value of the Visa
  gift card and Flourish promotional credit.

  6. Winner Selection and
  Notification

  6.1 Random Drawing

  On
  or about September 9
  2026, at 12 PM ET (following the end of the Promotion Period),
  three (3) potential winners will be selected in a random drawing from among all
  eligible entries received during the Promotion Period. The Grand Prize winner
  will be drawn first, followed by the two (2) Runner-Up winners. The random
  drawing will be conducted by NOVA or its designated agent using the ViralSweep
  platform's randomized winner-selection tool. One (1) prize maximum per person;
  an entrant already selected for a prize is not eligible to be selected for a
  second prize. The Co-Sponsors' decisions are final and binding on all matters
  relating to this Giveaway.

  6.2 Notification

  Each
  potential winner will be notified by email at the address provided at the time
  of entry within three (3) business days of the drawing. The notification email
  will include instructions for claiming the prize.

  6.3 Verification and
  Acceptance

  Each
  potential winner must respond to the notification email within seventy-two (72)
  hours of its transmission. A potential winner may be required to:

  •      
  Confirm eligibility,
  including age and state or district of residence;

  •      
  Provide a valid U.S.
  mailing address for shipment of physical prize components; and

  •      
  Execute and return an
  Affidavit of Eligibility, Liability Release, and (where permitted by law)
  Publicity Release within seven (7) days of receipt.

  If
  a potential winner: (a) fails to respond within seventy-two (72) hours; (b)
  fails to return required documents within seven (7) days; (c) is found to be
  ineligible; (d) cannot be reached after reasonable efforts; or (e) declines the
  prize, that
  prize will be forfeited and an alternate winner will be selected by random
  drawing from among the remaining eligible entries. A maximum of two (2)
  alternate drawings will be conducted per prize. If no eligible winner is
  confirmed for a prize after two (2) alternate drawings, that prize will remain
  unawarded.

  6.4 Winner Announcement

  Each
  winner's first name, last initial, and state or district of residence may be
  announced on the Co-Sponsors' social media accounts, on the Influencer's
  channels, within The NOVA(Verse) App, and/or on the NOVA and Flourish
  by NOVA websites.

  7. Publicity

  Except
  where prohibited by law, acceptance of a prize constitutes the winner's consent
  for the Co-Sponsors to use the winner's name, likeness, photograph, voice,
  biographical information, statements, city and state of residence, and prize
  information for advertising, publicity, and promotional purposes in any media,
  worldwide, without additional compensation, notice, or further consent.

  8. Privacy

  Personal
  information collected in connection with this Giveaway will be used in
  accordance with the Flourish by NOVA Privacy Policy (available at
  flourishbynova.com/policies/privacy-policy), The NOVA(Verse) App
  Privacy Policy (available within the App),
  The NOVA Privacy Policy (https://thenovaelement.com/pages/privacy-policy),
  and any policies associated with GCE Inc. if a potential entrant visits GCE
  Inc.’s owned channels. By entering, you consent to the
  collection, use, and disclosure of your personal information as described in
  those policies and in these Official Rules.

  Entry information, including an
  entrant’s name and email address, information regarding completed required
  entry steps and optional bonus actions, and, for AMOE entrants, mailing address
  and date of birth, is collected by the Administrator on behalf of the
  Co-Sponsors. NOVA administers entrant information for entry verification,
  winner selection, winner communications, account creation, and prize
  fulfillment. This information may be shared with the Administrator (ViralSweep
  / AppHub LLC) for Giveaway administration purposes only.

  If an entrant is selected and
  confirmed as a winner, NOVA may collect, verify, use, and disclose the winner’s
  name, email address, and mailing address as reasonably necessary to:

  a)     Confirm the winner’s identity and eligibility;

  b)     Communicate with the winner;

  c)     Ship physical prize components;

  d)     Deliver digital prize components;

  e)     Create or associate a Flourish customer account;

  f)      Issue and administer the Flourish promotional credit;

  g)     Provide access to the credit through the Flourish
  website and Recharge;

  h)     Maintain fulfillment, tax, fraud-prevention, and
  compliance records; and

  i)      Perform other activities reasonably necessary to
  administer and fulfill the prize.

  The winner’s name, email address,
  mailing address, account identifier, promotional-credit balance, redemption
  activity, and related transaction information may be processed by NOVA and
  Recharge as reasonably necessary to create and maintain the winner’s account,
  issue and redeem the promotional credit, administer an elected subscription,
  prevent fraud, provide customer support, and maintain legally required records.
  If a winner voluntarily purchases Flourish or enrolls in a subscription,
  additional billing, payment, shipping, and transaction information may be
  collected and processed in accordance with the terms or service and privacy
  disclosures available on the Flourish website and in their customer portal.

  Creation of a Flourish customer
  account for prize fulfillment does not, by itself, enroll the winner in a paid
  subscription, authorize recurring charges, or constitute consent to receive
  marketing communications. Any subscription enrollment, recurring-payment
  authorization, or marketing consent must be obtained separately through the
  applicable checkout or consent process.

  GCE receives only aggregate
  campaign-performance information about the Giveaway, such as total entry counts
  and engagement metrics. GCE does not receive general entrant contact
  information. GCE may receive the Grand Prize winner’s name, email address, mailing
  address, and other information reasonably necessary to purchase, activate,
  deliver, document, or troubleshoot delivery of the Visa gift card or to
  participate in authorized winner communications or announcements.

  If an entrant completes required
  entry steps or optional bonus actions involving Instagram or TikTok, that
  activity is governed by the applicable platform’s terms of service and privacy
  policy. The Co-Sponsors and Administrator receive only the minimum information
  reasonably necessary to confirm that the action was completed and do not
  receive entrants’ social-media passwords, browsing histories, or private
  social-media profile data through the entry or bonus process.

  The Co-Sponsors will not sell
  entrants’ personal information to third parties. Service providers may process
  personal information only as reasonably necessary to provide services to NOVA
  or the Co-Sponsors in connection with the Giveaway, winner accounts,
  promotional credits, subscriptions voluntarily selected by winners, or prize
  fulfillment. For California residents, additional rights are described in the
  privacy policies referenced above.

   

  9. General Conditions and Limitations
  of Liability

  9.1 Right to Cancel, Modify, or
  Suspend

  The Sponsor
  reserves the right, in its sole discretion, to cancel, terminate, modify, or
  suspend the Giveaway (in whole or in part) if, in the Sponsor's opinion, the
  Giveaway cannot be conducted as planned due to fraud, technical failures,
  computer viruses, unauthorized human intervention, or any other factor beyond
  the Sponsor's reasonable control that corrupts or impairs the administration,
  security, fairness, or proper conduct of the Giveaway. In such event, the
  Sponsor may select a winner from all eligible entries received prior to the
  cancellation, modification, or suspension.

  9.2 Release of
  Liability, Waiver, and Assumption of Risk

  BY ENTERING THIS GIVEAWAY, EACH
  ENTRANT AGREES TO RELEASE, DISCHARGE, AND HOLD HARMLESS Nova
  Element Corp d/b/a Flourish by NOVA and The NOVA(Verse), GCE Inc., Jenna Leveille, AppHub
  LLC (ViralSweep), and each of their respective officers, directors, employees,
  agents, affiliates, parent companies, subsidiaries, successors, and assigns
  (collectively, the "Released
  Parties") FROM AND AGAINST ANY
  AND ALL CLAIMS, DEMANDS, ACTIONS, CAUSES OF ACTION, SUITS, DAMAGES, LOSSES,
  COSTS, AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) of every kind
  and nature, whether known or unknown, suspected or unsuspected, arising out of
  or relating to:

  (a)    Entrant's
  participation in the Giveaway or any Giveaway-related activity, including
  downloading The NOVA(Verse) App;

  (b)   The
  acceptance, receipt, possession, use, misuse, or inability to use the prize, in
  whole or in part, including but not
  limited to any allergic reaction, adverse health effect, illness, bodily
  injury, disability, or death related to the consumption, use, or misuse of
  the Flourish by NOVA dietary supplement;

  (c)    Any
  interaction with other entrants, users, or third parties in connection with the
  Giveaway;

  (d)   Any
  errors, omissions, interruptions, or inaccuracies in Giveaway-related
  materials, whether in advertising, these Official Rules, or any correspondence;

  (e)    Any
  technical malfunctions, failures, errors, or difficulties of any kind,
  including but not limited to malfunctions of the ViralSweep platform, The
  NOVA(Verse) App, any website, telephone network, computer system, or mobile
  device;

  (f)    Unauthorized
  human intervention in the Giveaway;

  (g)   Any
  claim based on publicity rights, defamation, invasion of privacy, or any
  intellectual property right;

  (h)   The
  Released Parties' use of entrant's name, likeness, biographical data, or entry
  materials as permitted by these Official Rules; and

  (i)    Any
  acts of third parties, including but not limited to hacking, tampering, fraud,
  or unauthorized use of entrant information.

  Each entrant further acknowledges
  and agrees that the Released Parties have neither made nor are responsible for
  any warranty, representation, or guarantee, express or implied, in fact or in
  law, with respect to the prize — including but not limited to its quality,
  fitness for a particular purpose, mechanical condition, or safety — other than
  the express warranty, if any, provided by the product manufacturer.

  California Residents — Waiver of
  Civil Code § 1542:
  If you are a resident of California, you hereby waive California Civil Code
  Section 1542, which provides: "A
  general release does not extend to claims that the creditor or releasing party
  does not know or suspect to exist in his or her favor at the time of executing
  the release and that, if known by him or her, would have materially affected
  his or her settlement with the debtor or released party." You
  understand and acknowledge that the significance and consequence of this waiver
  of California Civil Code Section 1542 is that even if you should suffer damages
  arising out of or related to the Giveaway, you will not be able to make any
  claim for those damages against the Released Parties. Furthermore, you acknowledge
  that you intend these consequences even as to claims for damages that may exist
  as of the date of this release but which you do not know exist, and which, if
  known, would materially affect your decision to participate in this Giveaway.

   9.3
  Indemnification

  Each
  entrant agrees to indemnify, defend, and
  hold harmless the Released Parties from and against any and all third-party
  claims, demands, actions, damages, losses, costs, and expenses (including
  reasonable attorneys' fees and court costs) arising from or relating to: (a)
  entrant's participation in the Giveaway; (b) entrant's breach of any
  representation, warranty, or obligation under these Official Rules; (c)
  entrant's User Content or any materials submitted in connection with the
  Giveaway; and (d) entrant's violation of any applicable law, regulation, or
  third-party right in connection with the Giveaway.

  9.4
  Limitation of Liability

  TO
  THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  (A) ANY AND ALL
  DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE
  GIVEAWAY, THE PRIZE, OR THESE OFFICIAL RULES SHALL BE RESOLVED INDIVIDUALLY,
  WITHOUT RESORT TO ANY FORM OF CLASS ACTION, COLLECTIVE ACTION, OR
  REPRESENTATIVE PROCEEDING;

  (B) ANY AND ALL
  CLAIMS, JUDGMENTS, AND AWARDS SHALL BE LIMITED TO ACTUAL, DOCUMENTED, THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED (IF ANY),
  NOT TO EXCEED TEN DOLLARS ($10.00);

  (C) UNDER NO
  CIRCUMSTANCES SHALL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND EACH
  ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK: PUNITIVE
  DAMAGES, EXEMPLARY DAMAGES, INCIDENTAL DAMAGES, INDIRECT DAMAGES, SPECIAL
  DAMAGES, CONSEQUENTIAL DAMAGES, LOST PROFITS, AND ANY OTHER DAMAGES OTHER THAN
  ACTUAL OUT-OF-POCKET EXPENSES NOT TO EXCEED TEN DOLLARS ($10.00);

  (D) EACH ENTRANT
  HEREBY WAIVES ALL RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED;

  (E) NO ATTORNEYS'
  FEES SHALL BE AWARDED OR RECOVERABLE BY ANY ENTRANT IN CONNECTION WITH ANY
  DISPUTE ARISING OUT OF OR RELATING TO THIS GIVEAWAY;

  (F) IN NO EVENT
  SHALL THE RELEASED PARTIES' TOTAL AGGREGATE LIABILITY TO ANY ENTRANT EXCEED TEN
  DOLLARS ($10.00).

  SOME
  JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR
  CERTAIN DAMAGES, SO THE ABOVE MAY NOT FULLY APPLY TO YOU. IN SUCH
  JURISDICTIONS, THE RELEASED PARTIES' LIABILITY SHALL BE LIMITED TO THE MAXIMUM
  EXTENT PERMITTED BY APPLICABLE LAW.

   

  9.5 Dispute Resolution — Binding Individual Arbitration

  PLEASE READ THIS SECTION CAREFULLY
  — IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT
  AND YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION.

  (a) Agreement to Arbitrate. By entering
  this Giveaway, each entrant agrees that any dispute, claim, or controversy
  arising out of or relating to the Giveaway, these Official Rules, the prize, or
  any Giveaway-related activity ("Dispute")
  shall be resolved exclusively through final
  and binding individual arbitration administered by the American Arbitration Association ("AAA") under its
  Consumer Arbitration Rules then in effect, and not by any court or jury.

  (b) Consistency with App Terms. This
  arbitration provision is intended to be consistent with Section 15 of The
  NOVA(Verse) App Terms of Service. To the extent there is any conflict between
  these Official Rules and the App Terms of Service regarding dispute resolution
  for Giveaway-related claims, these
  Official Rules shall control.

  (c) Location and Format. The arbitration
  shall take place in Atlanta, Georgia, or, at the entrant's election, may be
  conducted by telephone, video conference, or based on written submissions.

  (d) Class Action Waiver. YOU AND THE
  SPONSOR EACH WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS
  ARBITRATION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR ANY OTHER
  REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE
  PERSON'S CLAIMS AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS
  PROCEEDING.

  (e) Jury Trial Waiver. YOU AND THE
  SPONSOR EACH WAIVE THE RIGHT TO A TRIAL BY JURY.

  (f) Arbitration Fees. If you initiate
  arbitration, you will be responsible for the AAA's consumer filing fee. The
  Sponsor will pay all remaining AAA administrative fees and arbitrator
  compensation.

  (g) Small Claims Exception. Notwithstanding
  the foregoing, either party may bring an individual claim in small claims court
  in Fulton County, Georgia (or the county in which you reside), provided the
  claim falls within the court's jurisdictional limits and remains on an
  individual, non-class basis.

  (h) Severability of Arbitration
  Provisions.
  If the class action waiver in subsection (d) is found to be unenforceable as to
  a particular claim, then the agreement to arbitrate shall not apply to that
  claim, and that claim shall be brought exclusively in the state or federal
  courts located in Fulton County, Georgia. All other claims shall remain subject
  to arbitration.

  (i) Governing Law. All issues and
  questions concerning the construction, validity, interpretation, and
  enforceability of these Official Rules shall be governed by the laws of the
  State of Georgia, without giving effect to any choice-of-law or conflict-of-law
  rules or provisions.

  (j) Limitations Period. Any Dispute
  must be filed within one (1) year
  after the date the cause of action arises. Any Dispute filed after this
  one-year period is permanently barred.

  9.6 Supplement Disclaimer

  THE PRIZE CONSISTS OF A DIETARY
  SUPPLEMENT. THE FOOD AND DRUG ADMINISTRATION HAS NOT EVALUATED ANY STATEMENTS
  REGARDING THIS PRODUCT. THIS PRODUCT IS NOT INTENDED TO DIAGNOSE, TREAT, CURE,
  OR PREVENT ANY DISEASE.
  The winner should consult with a healthcare professional before beginning any
  supplement regimen. The Sponsor is not responsible for any adverse reaction or
  health effect resulting from the winner's use of the prize product.

  9.7 Disqualification

  The Sponsor
  reserves the right to disqualify any entrant who: (a) tampers with the entry
  process or the operation of the Giveaway; (b) violates these Official Rules;
  (c) acts in an unsportsmanlike or disruptive manner; or (d) attempts to
  undermine the legitimate operation of the Giveaway, including by cheating,
  hacking, deception, or any other unfair practice. The Sponsor reserves the
  right to seek damages from any person who attempts to undermine the operation
  of this Giveaway to the fullest extent permitted by law.

  9.8 Severability

  If
  any provision of these Official Rules is held invalid or unenforceable, that
  provision will be modified to the minimum extent necessary to make it
  enforceable, or severed if modification is not possible, and all remaining
  provisions will continue in full force and effect.
