Rules

For good and valuable consideration, I hereby consent to the use of my filmed appearance (“Appearance”) in the Video shoot(s), and use of my name (“Name”) and image, voice, likeness, biographical material and/or video images depicting me (collectively the “Likeness(es)”). I hereby grant to Live Your Goals Consulting, LLC, & Good Talk, its affiliates, assigns, licensees and successors (singularly and/or collectively, the “Company”) the right to record, film, exploit, distribute, broadcast, stream, copy, reproduce, transmit or otherwise disseminate my Appearance, including without limitation, any edited, revised, derivatives or modified versions thereof (collectively the “Work”). I permit the use of my Appearance, Name and/or Likeness in the Work in all forms and media now known or hereinafter devised, including, without limitation, commercial exploitations, advertising and/or promotion throughout the world and in perpetuity. I waive the right to inspect or approve use of the above-granted rights as incorporated in the Work. I hereby agree that the Work, including my Appearance as embodied thereon, is a work made for hire for Company and that Company or its assignees and designees shall own all rights therein, including without limitation any copyrights therein, throughout the world and in perpetuity, free of all claims from me.        

I release Company, its licensees, entities and affiliates from any claims that may arise regarding the use of the footage, Appearance, Name and/or Likenesses, including, without limitation, any claims of defamation, invasion of privacy, or infringement of moral rights, rights of publicity or copyright, with the understanding that full and correct releases have been obtained for the use of any such Name and/or Likenesses. Company is not obligated to utilize the rights granted in this Agreement. I attest that I have read and understood this Agreement, that I am over the age of 18 (or will have a parent or legal guardian sign below if under the age of 18), and that I have voluntarily agreed to be interviewed and that I have the right to grant the rights granted herein. This Agreement expresses the complete understanding of the parties hereto.            

I represent and warrant that (i) I have the full right, power and authority to enter into and be bound by this Agreement; and that (ii) my appearance and performance will not infringe on any third party’s rights. This form shall be construed in accordance with the laws of New York without regard to its conflict of law provisions. The state and Federal courts located in New York County, New York will have exclusive jurisdiction over any dispute between the parties related to this Agreement and each party hereby submits to the jurisdiction, and agrees not to contest the venue of such courts.
