Official Rules
NO PURCHASE NECESSARY
I. NAME OF SPONSOR: Legendary Digital Networks, LLC, 2900 W. Alameda Ave., Suite 1500, Burbank, CA 91505 (“Sponsor”).
II. ELIGIBILITY: Only legal U.S. residents residing in the fifty (50) United States and the District of Columbia who are eighteen (18) years of age or older at the time of entry are eligible to enter. Officers, directors, agents, contractors, employees and assigns of each of Sponsor, its parent, subsidiaries, affiliates, distributors, retailers, sales representatives, advertising and promotion agencies (all such individuals and entities referred to collectively, the “Contest Entities”), and each of their immediate family members and/or people living in the same household are NOT eligible to enter the Contest or win a prize. This Contest is void where prohibited. "Immediate family members" shall mean parents, stepparents, children, stepchildren, siblings, stepsiblings, or spouses. "Household members" shall mean people who share the same residence at least three (3) months a year.
III. HOW AND WHEN TO ENTER:
Entry for the “Trick R Treat” Halloween Costume Contest (the “Contest”) begins on September 19, 2025 at 12:01am Pacific Time (“PT”) and ends on October 6 at 11:59pm PT. (the “Entry Period”).
To enter the Contest, entrant must visit www.nerdist.com (the “Website”), click the link provided (https://app.viralsweep.com/contest/full/4f1da9-214678?framed=1) and follow the online instructions to upload a photo showing your Halloween costume (the “Photo”) and complete the entry form with the information requested. You may only enter in one (1) time.
All requested information on the entry form at the Website must be completed to enter and to be eligible to win. Incomplete entries will be disqualified. Proof of entering information at the Website is not considered proof of delivery to or receipt by Sponsor of such entry.
Photo must feature the entrant ONLY wearing the Costume. Exact compositions of the Photo are at the entrant’s discretion, but the objective is to feature/showcase the Costume for Sponsor in its entirety. Costumes must be homemade (i.e., not purchased pre-assembled from a retailer). Costumes must not contain or depict any unlawful, defamatory, obscene, sexually explicit, or otherwise objectionable content, as determined by Sponsor in its sole discretion. In the event Sponsor determines that an entrant’s Costume is not eligible to enter the Contest, Sponsor reserves the right to disqualify such entrant. Entrants shall not receive any notice if their costume has been disqualified by Sponsor/the judges.
Each Photo must meet the following “Photo Requirements” (any Photo that, in Sponsor’s sole and absolute discretion, violates the following criteria will be disqualified):
• Photo must feature the entrant ONLY;
• Entrant must be the rightful owner of the Photo;
• Photo must NOT contain any material that infringes or violates any right of a third-party including copyright, patent, trademark, trade secret or other proprietary rights. For example, Photo should NOT contain reference to sports team logos, celebrities, or names or logos of businesses;
• Photo must NOT include any third parties/people, other than the entrant;
• Photo must NOT contain subject matter which is, or could be considered, in the sole discretion of the Sponsor, obscene, pornographic, violent (e.g., relating to murder, the sales of weapons, cruelty, abuse, etc.), defamatory, libelous, discriminatory (based on race, sex, religion, natural origin, physical disability, sexual orientation or age), illegal (e.g., illegal gambling, underage drinking, substance abuse, computer hacking, etc.), offensive, threatening, profane, hateful, degrading, harassing, or otherwise unlawful, tortious or objectionable;
• Photo must NOT contain any content that promotes any particular political agenda or message;
• Photo must NOT contain any personal identification, such as personal names or e-mail addresses;
• Photo must NOT violate any law;
• Photo must NOT contain any content that is protected by copyright (without the express prior written consent of the owner of such right), including any recognizable locations or include names and/or descriptions of any copyrighted media production, including, without limitation, films, books, television programming, etc., or identifying descriptions of any media property; and
• Photo must NOT contain any derogatory references to Sponsor or any of the Contest Entities.
Note: Sponsor reserves the right, in its sole discretion, to disqualify any entry in the Contest if Sponsor views the Photo as potentially infringing or otherwise a violation or potential violation of a third party’s rights or if it deems the Photo to be lacking in taste, quality, or to be otherwise objectionable. Sponsor reserves the right to waive the Photo Requirements in its reasonable discretion. Entrants understand that they are providing their Photo at their sole risk. Sponsor is not responsible for any claims arising from the Photos, specifically including, but not limited to, claims for intellectual property infringement and privacy rights violations, as well as violations of the social media platform’s terms and conditions.
In the event of a dispute regarding the identity of the individual who actually submitted an entry cannot be resolved to Sponsor’s satisfaction, the affected entry will be deemed ineligible. The Sponsor shall not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Contest or by any technical or human error, which may occur in the processing of the entries in the Contest. Sponsor assumes no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries. Incomplete entries will be disqualified.
Sponsor may use the services of a third party to administer the Contest (i.e., ViralSweep). In the event that such third party partner is utilized by Sponsor in connection with the Contest, all Contest entries must be made through the applicable third party platform in accordance with the third party’s Terms of Service and Privacy Policy. All personal information provided by you and entered into the third party platform will be subject to the third party platform’s Terms of Service and Privacy Policy.
Limit one (1) entry per person during the Entry Period. Multiple entries in excess of this limitation may result in disqualification of all entries by such person. Sponsor, in its sole discretion, may disqualify any entry that is deemed inappropriate, illegal or offensive, or otherwise not considered to be a valid entry, and entrant will not be eligible to win a Prize.
IV. GRANT OF RIGHTS
Each entrant into the Contest hereby irrevocably grants to Sponsor, its designees, affiliates, successors and assigns, the non-exclusive, irrevocable, fully paid, universal license to use, copy, sublicense, transmit, distribute, publicly perform, publish, delete or display their Photo, in any media now known or hereafter devised including, but not limited to all forms of electronic media, print media and all forms of internet and wireless protocol in perpetuity and throughout the universe for advertising, marketing, publicity and promotional purposes in connection with the Contest and other advertising and promotions. Sponsor shall have the right, in its sole discretion, to edit, composite, morph, scan, duplicate, or alter the Photo for any purpose which Sponsor deems necessary or desirable, and each entrant irrevocably waives any and all so-called moral rights they may have therein.
V. HOW AND WHEN WINNERS WILL BE SELECTED AND NOTIFIED
The winners will be chosen by a panel of judges, as selected by Sponsor, from among all eligible entries received, with the final determination of the winners being made by Mike Dougherty (“Judges”). The judging criteria for all Photos will be: 45% Originality, 45% Creativity, and 10% Spookiness (collectively, the “Judging Criteria”). The Judges will choose a first place winner, second place winner and a third place winner. In the event of a tie, the tied entries shall be judged by an additional judge based on the Judging Criteria to determine the prize winner. Decisions of the judges and/or Sponsor are final as to all Contest-related matters, including, without limitation, in the case of a tie.
Potential winners shall be notified by Sponsor or its designated representative via email using the contact information provided at time of entry.
If contact with a potential winner is not made within three (3) days, they will be disqualified and an alternate potential winner will be selected from the remaining valid entries based on the results of the judging. Failure to timely comply with any requirement of these terms and conditions will result in the winning entrant being deemed ineligible for any prize. Sponsor, in its sole discretion, will attempt to contact up to three (3) potential winners of a prize in accordance with the above procedure, after which the prize in question may go unawarded if it remains unclaimed. If any potential prize winner is found to be ineligible, or if they have not complied with these Official Rules or decline the prize for any reason prior to award, such potential prize winner will be disqualified and an alternate prize winner may be selected.
VI. PRIZES:
One (1) First Prize is available. The First Prize consists of a $100 (USD) gift card eligible to use in a Spirit Halloween store or on SpiritHalloween.com and four (4) movie tickets to see “Trick ‘r Treat”. The approximate value (“ARV”) of the First Prize is $150.
One (1) Second Prize is available. The Second Prize consists of a $50 (USD) gift card eligible to use in a Spirit Halloween store or on SpiritHalloween.com and two (2) movie tickets to see “Trick ‘r Treat”. The ARV of the Second Prize is $100.
One (1) Third Prize is available. The Third Prize consists of two (2) movie tickets to see “Trick ‘r Treat”. The ARV of each First Prize is $50.
Winners are solely responsible for all other expenses not specified herein, including but not limited to concessions; parking, and any necessary ground transportation, and all other costs and expenses not otherwise mentioned herein.
Prize is not redeemable for cash or transferable. No substitutions allowed except, at Sponsor’s sole discretion, a prize, or prize element, of equal or greater value may be substituted. Certain prize items are subject to availability and may be substituted by Sponsor for a different item of greater or equal value, in its sole discretion.
Winner shall be solely responsible for any applicable federal, state, and local taxes and the reporting consequences thereof, and for any other fees or costs associated with a Prize. Winner will receive an IRS Form 1099 reflecting the final actual value of any Prize valued at $600 or more and must submit a validly executed IRS Form W-9 to claim Prize.
Sponsor makes no warranties, and hereby disclaims any and all warranties, express or implied, concerning any prize furnished in connection with the Contest. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, SUCH PRIZES ARE PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, AND SPONSOR HEREBY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND/OR NON-INFRINGEMENT.
VII. RELEASES
Entrants agree that the Contest Entities (A) shall not be responsible or liable for, and are hereby released from, any and all costs, injuries, losses or damages of any kind, including, without limitation, death and bodily injury, due in whole or in part, directly or indirectly, to participation in the Contest or any Contest-related activity, or from entrants’ acceptance, receipt, possession and/or use or misuse of any prize, and (B) have not made any warranty, representation or guarantee express or implied, in fact or in law, with respect to any prize, including, without limitation, to such prize’s quality or fitness for a particular purpose. Sponsor assumes no responsibility for any program malfunctions, or other errors, failures that are human or technical in nature. Without limiting the generality of the foregoing, Sponsor is not responsible for miscommunications, or for any technical malfunctions, failures, difficulties or other errors of any kind or nature; or for the incorrect or inaccurate capture of information, or the failure to capture any information. Sponsor reserves the right in its sole discretion to disqualify any individual who is found to be tampering with the entry process or the operation of the Contest, to be acting in violation of these Official Rules, or to be acting in an unsportsmanlike or disruptive manner, or with the intent to disrupt or undermine the legitimate operation of the Contest, or to annoy, abuse, threaten or harass any other person, and Sponsor reserves the right to seek damages and other remedies from any such person to the fullest extent permitted by law. No mechanically reproduced, illegible, incomplete, forged, software-generated or other automated multiple entries will be accepted. Sponsor reserves the right to modify, extend, suspend, or terminate the Contest if it determines, in its sole discretion, that the Contest is technically impaired or corrupted or that fraud or technical problems, failures or malfunctions or other causes beyond Sponsor’s control have destroyed or severely undermined or to any degree impaired the integrity, administration, security, proper play and/or feasibility of the Contest as contemplated herein. In the event an insufficient number of eligible entries are received and/or Sponsor is prevented from awarding prizes or continuing with the Contest as contemplated herein by any event beyond its control, including but not limited to fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal, state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction, or other cause not reasonably within Sponsor’s control (each a “Force Majeure” event or occurrence), then subject to any governmental approval which may be required, Sponsor shall have the right to modify, suspend, extend or terminate the Contest. If the Contest is terminated before the designated end date, Sponsor will (if possible) select the Prize Winner in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Only the type and quantity of prizes described in these Official Rules will be awarded. These Official Rules cannot be modified or amended in any way except in a written document issued in accordance with law by a duly authorized representative of Sponsor. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein.
BY ENTERING THE CONTEST, ENTRANT AGREES THAT TO THE EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE CONTEST, OR ANY AWARD AWARDED, WILL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION; (2) ANY AND ALL CLAIMS, JUDGMENTS AND AWARDS WILL BE LIMITED TO ACTUAL THIRD-PARTY, OUT-OF-POCKET COSTS INCURRED, (IF ANY), NOT TO EXCEED TWO HUNDRED FIFTY DOLLARS ($250.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; AND 3) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND ENTRANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS, AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY, SO THE ABOVE MAY NOT APPLY TO YOU.
VIII. PRIVACY
Entry information may be shared with Sponsor's Contest partners to the extent entrants agree at the time of entry or to the extent required for prize fulfillment purposes. Except as otherwise contemplated in these Official Rules, and to the extent entrants may otherwise elect at the time of entry, personal information collected in connection with the Contest will be used in accordance with Sponsor’s privacy policy located at http://www.legendary.com/about/privacy.
IX. GOVERNING LAW
ALL ISSUES AND QUESTIONS CONCERNING THE CONSTRUCTION, VALIDITY, INTERPRETATION AND ENFORCEABILITY OF THESE OFFICIAL RULES OR THE RIGHTS AND OBLIGATIONS OF ENTRANTS OR SPONSOR IN CONNECTION WITH THE CONTEST SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE INTERNAL LAWS OF THE STATE OF CALIFORNIA WITHOUT GIVING EFFECT TO ANY CHOICE OF LAW OF CONFLICT OF LAW RULES OR PROVISIONS THAT WOULD CAUSE THE APPLICATION OF ANY OTHER STATE’S LAWS.
X. ARBITRATION PROVISION
By participating in this Contest, each entrant agrees: (i) that any and all disputes the entrant may have with, or claims entrant may have against, the Contest Entities relating to, arising out of or connected in any way with (a) the Contest, (b) the awarding or redemption of any prize, and/or (c) the determination of the scope or applicability of this agreement to arbitrate, will be resolved exclusively by final and binding arbitration administered by JAMS and conducted before a sole arbitrator in accordance with the rules of JAMS; (ii) this arbitration agreement is made pursuant to a transaction involving interstate commerce, and shall be governed by the Federal Arbitration Act (“FAA”), 9 U.S.C. §§ 1-16; (iii) the arbitration shall be held in Los Angeles, California; (iv) the arbitrator’s decision shall be controlled by the terms and conditions of these Official Rules and any of the other agreements referenced herein that the applicable entrant may have entered into in connection with the Contest; (v) the arbitrator shall apply California law consistent with the FAA and applicable statutes of limitations, and shall honor claims of privilege recognized at law; (vi) there shall be no authority for any claims to be arbitrated on a class or representative basis, arbitration can decide only entrant’s and/or Sponsor’s individual claims; the arbitrator may not consolidate or join the claims of other persons or parties who may be similarly situated; (vii) the arbitrator shall not have the power to award punitive damages against the entrant or Sponsor; (viii) in the event that the administrative fees and deposits that must be paid to initiate arbitration against Sponsor exceed $125 USD, and entrant is unable (or not required under the rules of JAMS) to pay any fees and deposits that exceed this amount, Sponsor agrees to pay them and/or forward them on entrant’s behalf, subject to ultimate allocation by the arbitrator; (ix) if the entrant is able to demonstrate that the costs of arbitration will be prohibitive as compared to the costs of litigation, Sponsor will pay as much of entrant’s filing and hearing fees in connection with the arbitration as the arbitrator deems necessary to prevent the arbitration from being cost-prohibitive; and (x) with the exception of subpart (vi) above, if any part of this arbitration provision is deemed to be invalid, unenforceable or illegal, or otherwise conflicts with the rules of JAMS, then the balance of this arbitration provision shall remain in effect and shall be construed in accordance with its terms as if the invalid, unenforceable, illegal or conflicting provision were not contained herein. If, however, subpart (vi) is found to be invalid, unenforceable or illegal, then the entirety of this arbitration provision shall be null and void, and neither entrant nor Sponsor shall be entitled to arbitrate their dispute. To obtain a copy of any legally-required winners list, send a self-addressed stamped envelope to: “Trick ‘r Treat” Costume Contest Winners List, 2900 West Alameda Ave., Suite 1500, Burbank, CA 91505. All such requests must be received within six (6) weeks after the end of the Contest Period.
