SATISFY ALL OF THE ELIGIBILITY REQUIREMENTS BELOW AND AGREE TO BE BOUND UNCONDITIONALLY BY THESE OFFICIAL
RULES AND ALL DECISIONS OF ACE BEVERAGE GROUP INC. (THE “CONTEST SPONSOR”).

Contest Sponsor, Starseed Entertainment or any of their respective parent companies, subsidiaries, affiliates,
agencies, distribution companies, the applicable liquor authorities, participating liquor licensees, prize suppliers,
or any of their respective shareholders, trustees, directors, officers, employees or agents, or any person who is
domiciled with any of the foregoing persons.
For the purpose of the Contest “immediate family” is defined as parent, spouse, sibling, child or any person
residing in the same household or domiciled with any such employees or representatives. The Provincial Liquor
Authorities or Licensed Retailers are not connected with this contest in any manner whatsoever and are not
liable in any way whatsoever in regard to any matter which relates to this contest.
9. Has not entered into an exclusive recording agreement with any 3rd party that would prevent the commercial
release of at least one recording via Starseed Entertainment.
2. HOW TO ENTER & HOW TO WIN: To participate in the Contest, entrants must have internet access and a valid email
address.
Enter your name, age, address, e-mail, telephone number and an audio or video clip of a musical performance to the
official entry form on https://www.CottageSprings.ca/CountryRising (the “Contest Website”). The Contest begins at
approximately 12:00 a.m. Eastern Time (“ET”) on or about Monday, March 24th, 2025 and ends at 11:59 p.m. ET on
Monday, April 20th, 2025 (the “Contest Close Date”).All entries must be received on or before the Contest Closing Date or applicable entry period. Entries received after the
contest close date are void. Entrants must also provide the correct answer to the skill-testing question and be in
compliance with these contest rules in order to be eligible to win (the “Eligibility Requirements”). Limit one entry per
person during the promotion period.
Once you have completed a contest entry form in full, including providing the correct answer to a skill-testing question,
click “submit” and you will immediately see a message confirming that you have been entered into the contest. If
confirmed as a finalist meeting the eligibility requirements (defined above), a representative from the contest sponsor will
contact you via the phone number or e-mail address provided within the Web Submission Form at time of entry.
No communication will be entered into by the Contest Sponsor with entrants except with selected entrant(s). The
Contest Sponsor is not responsible for the failure, for any reason whatsoever, of a selected entrant to receive notification
or for the Contest Sponsor to receive a selected entrant’s response.
No responsibility is assumed by the Contest Sponsor for any inability of a potential entrant to successfully enter the
contest for any reason. The Contest Sponsor is not responsible for late, lost, damaged, misdirected, mutilated, garbled,
illegible or incomplete entries. Proof of transmission (e.g. screenshots) does not constitute proof of receipt.
3. NO PURCHASE NECESSARY
4. PRIZE: There is one (1) prize available to be won consisting of the following:
● $10,000 CAD Cash Prize
● Recording contract with Starseed Entertainment, to include but not limited to the recording and commercial
release of one (1) song, on terms prepared by Starseed Entertainment.
● Two (2) artist development sessions with Starseed Entertainment’s A&R team.
● One (1) songwriting session with a signed act of Starseed Entertainment.
● Professionally produced recording session, to include four (4) hours of recording time, with Starseed
Entertainment.
● Media training session with Penelope PR.
● Professional press photography shoot with Starseed Entertainment.
● Opening performance at one (1) Hockey Fest event.
● Opening performance slot at The Reklaws’ 2025 Kee to Bala dates, currently scheduled for August 1-2, 2025.
● Talent travel and hotel accommodations for each live appearance.
Alcohol is not a part of the Prize. The approximate retail value of the Prize is $30,000 CAD and is not transferrable,
resaleable or redeemable in whole for cash. The Contest Sponsor is not liable if the event associated with the Prize is
cancelled for any reason.
Contest Sponsor reserves the right to substitute all or part of the Prize with an item of equal or greater value in its sole and
absolute discretion.
5. AWARDING OF PRIZE: On April 23, 2025 the Contest Sponsor will select three (3) finalists from among all eligible
individuals who entered during the Contest Period at 12:00 p.m. EST. The selected finalists will be notified by the Contest
Sponsor via phone number or email address (provided within the Web Submission Form at the time of entry). If the
entrant has not responded to the Notification within three (3) days of receipt of such Notification, another individual
may, at the Contest Sponsor’s sole discretion, be selected in which case that entrant will become the selected finalist
and the previously selected entrant then will be disqualified and have no right to a Prize.The Contest Sponsor will select one (1) person from the (3) finalists on or about June 9th, 2025, following a period of live
performances and public voting. The selected individual will be notified by the Contest Sponsor via phone number or
email address (provided within the Web Submission Form at the time of entry). If the entrant has not responded to the
Notification within three (3) days of receipt of such Notification, another individual may, at the Contest Sponsor’s sole
discretion, be selected in which case that entrant will become the selected entrant and the previously selected entrant
then will be disqualified and have no right to a Prize.
Before the Prize is awarded, the potential winner will be required to sign a standard declaration of compliance with the
Official Rules and release forms releasing the Contest Sponsor, and each of their respective affiliates, parent companies,
subsidiaries, professional advisors, provincial liquor authorities and advertising and promotional agencies, and each of
their directors, officers, employees, representatives and agents (collectively, the "Released Parties") from any and all
liability arising out of, pursuant to, or as a result of the carrying out of the Contest, including, without limitation, liability
arising from the acceptance of and usage of a prize as awarded, the administration of the Contest and the selection of
a potential winner.
If a potential prize winner does not respond to the Notification within the time stipulated, is found to be ineligible for any
reason, declines to accept a prize, or incorrectly answers the required mathematical skill-testing question, or runs-out of
time to correctly answer the required mathematical skill-testing question, the potential winner will be disqualified and will
forfeit a prize. The Contest Sponsor may then, at their sole and absolute discretion, select another eligible entrant who
will be subject to disqualification in the same manner. The Contest Sponsor will not be responsible for failed attempts to
notify any potential winner.
Prizes must be accepted as awarded. Prizes are non-transferable, non-resaleable and non-redeemable for cash. No
substitutions, except by the Contest Sponsor, who reserves the right to substitute a prize or any portion of a Prize with a
prize of equal or greater value. All decisions of the Contest Sponsor shall be final and shall not be subject to appeal.
Prizes may be forfeited if delivery cannot be effected following reasonable efforts by Contest Sponsor.
6. APPLICABLE LAW: The contest is subject to all applicable Federal, Provincial and Municipal laws and regulations. Any
dispute relating to this contest must be resolved before the Courts of Province of Ontario sitting in the City of Toronto,
Ontario, Canada, and the entrant hereby irrevocably submits and attorns to the original and exclusive jurisdiction of
those Courts in respect of any such dispute or matter.
7. PRIVACY & PERSONAL INFORMATION: By entering the contest or accepting a prize, entrants consent to the collection,
use, storage and distribution of their personal information, including without limitation their name, address, telephone
number, age and/or photograph by the Sponsor and Starseed Entertainment, in reference to all matters related to this
contest or in any publicity carried out by them without compensation and agree to abide by the Contest Rules and the
decisions of the independent contest organization, and the Sponsor, which are final. Such information is stored for only
so long as required to complete the purpose for which it was collected. The entrant's personal information shall not be
provided to any third party by the Sponsor without the entrant's consent. If an entrant would like their personal
information removed from the Sponsor's database at the conclusion of the contest, send this request in writing to the
Senior Brand Manager, Ace Beverage Group, 140 Geary Avenue, Toronto, Ontario, M6H 4H1.
8. RELEASE AND INDEMNIFICATION: By participating in the Contest and submitting an entry, each entrant (i) agrees to be
bound by these Official Rules, including all entry requirements, (ii) agrees that the decisions of the Contest Sponsor is final
and without appeal, (iii) remises, releases and forever discharges the Released Parties from any and all actions, causes
of actions, suits, debts, dues, accounts, claims, damages, liability, losses, harm, costs or expenses, including without
limitation any and all liability for any injuries, loss or damage of any kind to the entrant or any other person, including
personal injury, death, or property damage, arising out of, or in any way related to, directly or indirectly, the Contest,
including without limitation the entrant’s participation in the Contest, any breach of these Official Rules and Regulations,
the awarding, receipt, possession, use and/or misuse of any Contest Prize (or any portion thereof), and any travel or
activity that is related to the receipt or use of any Contest Prize, and/or the violation or infringement of any intellectual
property rights or of any publicity, personality or privacy rights, and agrees to fully indemnify the Released Parties from
any and all claims by third parties relating to the foregoing.9. RELEASE: Before being declared a winner, the selected entrant will be required to sign one or more declaration,
indemnity and release forms in a form acceptable to the persons listed below, confirming compliance with the Contest
Rules and acceptance of a prize as awarded and indemnifying and releasing the Sponsor, the Liquor Boards, liquor
licensees, the independent contest organization, prize suppliers, their respective agents, representatives and associated
companies, and all of their respective directors, officers and employees from any liability in connection with this contest
or occurring as a result of the prize(s) being awarded.
10. GENERAL: All entries become the property of the Sponsor who assumes no responsibility for entries that are lost, late,
delayed, destroyed or misdirected for any reason whatsoever or for any computer errors or malfunctions. Neither the
Sponsor, prize suppliers, the Liquor Boards, liquor licensees or their respective agents shall be responsible for any errors,
negligence, losses or damages of any nature whatsoever that may arise or occur in connection with this contest or a
prize. The Sponsor does not assume any responsibility for incorrect or inaccurate capture of entry information, technical
malfunctions, human or technical error, seeding or printing errors, lost, delayed or garbled data or transmissions, omission,
interruption, deletion, defect or failures of any telephone or computer line or network, computer equipment, software or
any combination thereof. Entry materials/data that have been tampered with or altered are void. If for any reason, in
the opinion of the Sponsor, in its sole discretion, this contest is not capable of running as originally planned, or if the
administration, security, fairness, integrity or the proper conduct of this contest is corrupted or adversely affected,
including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures
or any other causes beyond its control, the Sponsor reserves its right to cancel, terminate, modify, amend, extend or
suspend this contest including canceling any method of entry, and select a winner from previously received eligible
entries. The Sponsor reserves the right to modify the Contest Rules without materially affecting the terms and conditions
hereof. The Sponsor in its sole discretion, further reserves the right to terminate any on-line portion of the contest and
conduct the drawing from all on-line entries previously received during the entry Period. The Sponsor reserves the right in
its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the
contest or to be acting in violation of the Contest Rules or otherwise in a disruptive manner. Any attempts to deliberately
damage any web site or to undermine the legitimate operation of this contest is a violation of criminal and civil laws and
should such an attempt be made the Sponsor reserves the right to seek remedies and damages to the fullest extent of
the law. The Sponsor shall not be held responsible for any errors or negligence that may arise or occur in connection with
this contest including any damage to an entrant's computer equipment, system, software or any combination thereof,
as a result of their participation in this contest or from downloading any material from the contest web site, where
applicable. The Sponsor may modify or withdraw this contest, without liability if any printing/production errors occur,
without public notice.
11. ERRORS: The Contest Sponsor is not responsible for typographical or other errors in the offer or administration of the
Contest, including but not limited to errors in advertising, the Official Rules, the selection and announcement of winners,
or the distribution of a Prize or the Grand Prize. In no event will the Contest Sponsor be liable for more than the stated
number of Prizes in these Rules (at any level). If due to printing production, online, internet, computer or other error of any
kind a Prize notification misstates the applicable Prize that an entrant is able to win, or mistakenly declares an entrant to
be a potential Prize winner, the entrant will only be eligible to receive the applicable Prize that an entrant is eligible to
win based on Contest Sponsor official records and data (as determined by the Contest Sponsor in its sole an absolute
discretion).
